LEGAL DICTATION DOCUMENT

This Legal Dictation Agreement (the "Agreement") is made as of Effective Date: by and between Service Provider Name: Entity Type: Address: and Client Name: Entity Type: Address:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing audio dictation intake, transcription, editing, and transcript delivery services and possesses the personnel, systems, and procedures necessary to provide such services in a professional manner; and

WHEREAS, Client desires to engage Service Provider to transcribe, process, store and deliver transcripts and related deliverables of Client's recorded dictation and related files, and Service Provider is willing to provide such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to define their respective rights and obligations with respect to the performance, confidentiality, ownership, delivery, and payment for such services.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: (a) "Services" means the transcription, editing, formatting, quality review, secure storage and delivery services described in Section 2; (b) "Transcripts" means all verbatim and edited transcriptions, notes, summaries, and related deliverables produced by Service Provider from Client's recorded dictation; and (c) "Confidential Information" means information disclosed by either party that is designated confidential or that reasonably should be understood to be confidential given its nature.

2. SERVICES

Service Provider shall accept audio files, upload links, or live dictation feeds from Client and shall produce Transcripts in accordance with the mutually agreed scope. The Services shall include transcription, basic proofreading, formatting consistent with Client instructions, and delivery by the delivery method specified by Client.

3. PERFORMANCE STANDARDS; TURNAROUND

Service Provider shall perform the Services in a professional manner with commercially reasonable care and skill. Standard turnaround for ordinary dictation shall be Turnaround Time: . Expedited or rush services are available upon Client's request and subject to additional fees.

Client shall provide clear instructions, reasonably legible audio and any necessary reference materials. Service Provider shall be entitled to an equitable extension of time to deliver Transcripts to the extent Client fails to provide required input or materials.

4. FEES AND PAYMENT

Client shall pay Service Provider the fees set forth below for the Services. Fees are exclusive of applicable taxes. All fees shall be due and payable as set forth in this Section.

5. CONFIDENTIALITY AND DATA SECURITY

Service Provider shall maintain the confidentiality of all Confidential Information and shall not disclose such information except as required by law. Service Provider shall implement and maintain administrative, physical and technical safeguards appropriate to the sensitivity of the Confidential Information, including encryption of data in transit and at rest where reasonably practicable, access controls, and personnel confidentiality obligations.

Service Provider shall promptly notify Client of any unauthorized access, loss, or disclosure of Confidential Information and shall cooperate with Client in reasonable mitigation and remediation efforts.

6. OWNERSHIP; LICENSE

Unless otherwise agreed in writing, Client shall retain all right, title and interest in and to the underlying content and intellectual property contained in Client's dictation. Service Provider shall own no rights in such underlying content. Service Provider assigns to Client all right, title and interest in and to the Transcripts produced for Client, subject to Client's payment of all fees then due. Notwithstanding the foregoing, Service Provider may retain anonymized operational copies of Transcripts for quality assurance or training in a form that does not identify Client.

7. ACCURACY; CORRECTIONS

Service Provider shall use commercially reasonable efforts to produce accurate Transcripts, but Client acknowledges that transcription accuracy may be affected by audio quality, speaker clarity, and technical conditions. If Client notifies Service Provider of an error within Correction Period: , Service Provider shall correct material errors at no additional charge. Corrections shall not extend to interpretation or substantive legal editing beyond the agreed scope.

8. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon thirty (30) days' written notice. Either party may terminate immediately for material breach that is not cured within fifteen (15) days after written notice. Termination shall not relieve Client of the obligation to pay for Services performed prior to termination. Sections concerning Confidentiality, Ownership, Indemnification and Limitation of Liability shall survive termination.

9. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Client represents that it owns or is licensed to use any underlying content submitted to Service Provider and that the use of such content will not infringe third-party rights.

10. INDEMNIFICATION

Client shall indemnify, defend and hold harmless Service Provider from and against any claims, liabilities, damages and expenses arising from Client's breach of representation regarding ownership or authorized use of submitted content. Service Provider shall indemnify Client for breaches of its confidentiality obligations or willful misconduct in the performance of the Services.

11. LIMITATION OF LIABILITY

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR A PARTY'S INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CLIENT TO SERVICE PROVIDER IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may specify in writing in accordance with this Section.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction: , without regard to its conflicts of laws principles. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. MISCELLANEOUS

The parties shall cooperate to effectuate the purposes of this Agreement, including execution of additional documents reasonably necessary to carry out its terms. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all its assets.
