This Legal Direction Form is executed as of the day of , by and between Client Name: with principal address and Recipient Name: with principal address .

RECITALS

WHEREAS, Client is the party possessing authority or an interest in the matter described as:

WHEREAS, Client desires to direct Recipient to take certain legal actions, exercise rights, and make determinations on Client's behalf in respect of the matter described above in accordance with the terms and limitations set forth herein; and

WHEREAS, Recipient has represented that Recipient has the experience, capacity and authority to undertake the actions specified in this Direction and agrees to act in accordance with the instructions given pursuant to this instrument.

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows:

1. DIRECTION

Client hereby directs Recipient to undertake, prosecute, compromise, settle, dismiss or otherwise manage the matter described above in accordance with the specific instructions set forth in Section 2 and the limitations in Section 4. Recipient shall act in good faith and use commercially reasonable efforts in carrying out such directions.

2. SCOPE OF AUTHORITY

Recipient is authorized to perform the following actions on behalf of Client (check those authorized and complete supplemental description):

Commence or defend litigation, arbitration, or administrative proceedings;
Negotiate, propose, accept and execute settlements;
Execute and deliver pleadings, releases, agreements, and other documents necessary to effectuate any authorized action;
Take other actions reasonably necessary to prosecute or resolve the matter as described in the supplemental instructions below.

3. DUTIES OF RECIPIENT

Recipient shall exercise the authority granted herein in a manner consistent with applicable law and professional standards. Recipient shall keep Client reasonably informed of material developments, provide copies of all material correspondence and filings related to the matter, and shall obtain Client's prior written consent where required by Section 4 (Limits on Authority).

4. LIMITS ON AUTHORITY

Recipient shall not enter into any settlement, compromise, or agree to any monetary obligation on behalf of Client that exceeds $ without Client's prior written approval. Recipient shall not incur any non-routine legal fees, costs, or disbursements exceeding $ without prior written authorization from Client.

5. RELIANCE AND INDEMNITY

Client acknowledges that third parties may rely upon Recipient's actions taken pursuant to this Direction. Client shall indemnify and hold harmless Recipient from and against any liability, loss, cost or expense (including reasonable attorneys' fees) incurred by reason of actions taken in good faith pursuant to this Direction, except to the extent resulting from Recipient's gross negligence or willful misconduct. The indemnity herein shall be limited to $.

6. RECORDS AND REPORTING

Recipient shall maintain complete and accurate records of actions taken under this Direction and shall provide Client with written reports no less frequently than: . 7. CONFIDENTIALITY

Recipient shall treat as confidential all information obtained from Client in connection with this Direction and shall not disclose such information to third parties except (a) with Client's express written consent, (b) as required by law or a court of competent jurisdiction, or (c) to Recipient's agents or counsel who are bound to confidentiality obligations no less protective than those set forth herein.

8. TERM AND TERMINATION

This Direction shall become effective on the date set forth above and shall remain in effect until the earlier of (a) final resolution of the matter described in Section 1, or (b) termination by either party upon thirty (30) days' prior written notice to the other party. Termination shall not relieve either party of obligations accrued prior to termination.

9. NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and delivered to the parties at their respective addresses below or to such other address as either party may designate by written notice to the other.

10. AMENDMENTS

No amendment, modification or waiver of any provision of this Direction shall be effective unless it is in writing and signed by both parties. Any purported amendment or waiver not complying with this Section shall be null and void.

11. WAIVER

The failure of either party to enforce any provision of this Direction shall not constitute a waiver of future enforcement of that or any other provision. A waiver is effective only if it is in writing and signed by the party granting the waiver.

12. GOVERNING LAW

This Direction shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules.

13. ENTIRE AGREEMENT

This Direction constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties.

14. SEVERABILITY

If any provision of this Direction is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall continue in full force and effect and shall be enforceable to the fullest extent permitted by law.
