LEGAL DIRECTION LETTER

This Legal Direction Letter (the "Letter") is made effective as of Effective Date: by and between Client Name: , Client Address: (\"Client\"), and Addressee Name: , Addressee Address: (\"Addressee\").

RECITALS

WHEREAS, Client desires to direct Addressee to undertake certain legal and administrative actions described herein; and

WHEREAS, Addressee has confirmed its capacity and willingness to accept such directions subject to the terms and limitations set forth in this Letter; and

WHEREAS, the parties intend for this Letter to define the scope of authority, allocation of costs and liabilities, and procedures for carrying out the directed matters.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained in this Letter, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used in this Letter shall have the meanings set forth in this Section unless otherwise defined elsewhere. "Direction" means any instruction, demand, request, settlement term, or other action specified by Client pursuant to Section 2. "Authorized Representative" means any individual whom Client designates in writing to provide Directions under this Letter.

2. SCOPE OF DIRECTION

Client hereby directs Addressee to take the following specific actions (collectively, the "Directed Actions"):

Unless otherwise specified in writing by Client, each Direction shall be considered final and binding on Client as to purpose and scope where provided in accordance with Section 4.

3. AUTHORITY AND LIMITATIONS

Client represents and warrants that it has full power and authority to issue the Directions set forth in this Letter. Addressee shall act only within the scope of an express Direction and shall not be required to take any action that, in Addressee's reasonable judgment, would violate applicable law, professional responsibility rules, or create a material conflict of interest.

Client acknowledges that Addressee's compliance with a Direction given in good faith by Client or Client's Authorized Representative shall be a complete defense to any claim that arises from compliance with such Direction, except to the extent caused by Addressee's gross negligence or willful misconduct.

4. PROCEDURE FOR GIVING DIRECTIONS

Directions shall be provided in writing, delivered to Addressee's Notice Address set forth below, and signed by Client or an Authorized Representative. For emergency matters, Client may provide oral Directions which shall be confirmed in writing within three (3) Business Days. Written confirmation may be transmitted by electronic mail or facsimile to the addresses specified in Section 11.

If Client intends to authorize binding settlement or disposition of legal claims, Client shall indicate such authorization by checking the box below and specifying any monetary or non-monetary limits.

5. RECORDS, REPORTING AND COOPERATION

Addressee shall maintain reasonably complete records of actions taken pursuant to Directions and shall provide periodic reports to Client at intervals agreed in writing. Client shall cooperate with Addressee, timely provide information and documentation reasonably requested, and shall be responsible for any delay or additional cost resulting from Client's failure to cooperate.

6. FEES, EXPENSES AND PAYMENT

Client shall be responsible for fees and expenses incurred by Addressee in carrying out Directions as follows:

Addressee may require a retainer or advance payment; absent such agreement, Addressee may suspend performance until adequate assurance of payment is provided.

7. CONFIDENTIALITY

Each party shall treat information exchanged under this Letter as confidential and shall not disclose it except as required by law, regulatory authority, court order, or as necessary to perform the Directed Actions. Disclosure to counsel, auditors, or insurers is permitted provided recipients are bound to maintain confidentiality.

8. CONFLICTS OF INTEREST

Addressee represents that, to the best of its knowledge after reasonable inquiry, no conflict exists that would impair its ability to carry out the Directions. If a conflict arises, Addressee shall promptly notify Client in writing and may take steps to resolve or withdraw as appropriate under applicable rules.

9. INDEMNIFICATION

Client shall indemnify and hold harmless Addressee, its affiliates, and their respective directors, officers, employees and agents from and against any liability, loss, damage, cost or expense (including reasonable attorneys' fees) arising directly from Client's Directions, except to the extent such liability results from Addressee's gross negligence or willful misconduct.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or fraudulent acts, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, even if such party has been advised of the possibility of such damages.

11. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice to the other party in accordance with this Section.

12. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Letter shall be effective unless in a written instrument signed by both parties. No failure or delay by a party in exercising any right shall operate as a waiver of that right, nor shall any single or partial exercise preclude any other or further exercise.

13. COUNTERPARTS; ELECTRONIC SIGNATURES

This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means, including scanned or electronic signatures, shall be effective for all purposes.

14. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles that would apply the laws of another jurisdiction.

15. ENTIRE AGREEMENT

This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether oral or written, relating to such subject matter.

16. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any jurisdiction, the remainder of this Letter shall remain in full force and effect and the invalid, illegal or unenforceable provision shall be construed, limited or replaced to the minimum extent necessary to make it enforceable.

17. MISCELLANEOUS

The headings in this Letter are for convenience of reference only and shall not affect the interpretation of this Letter. The obligations and rights of the parties under this Letter shall inure to the benefit of and be binding upon their respective successors and permitted assigns.
