LEGAL DIRECTOR CONSENT FORM

This Legal Director Consent Form (the "Consent") is made and entered into as of by and between Company Name: , an entity organized as under the laws of , with principal place of business at (hereinafter "Company"), and Director Name: of address (hereinafter "Director").

Recitals

WHEREAS, the Board of Directors of the Company has determined that the Company requires the services of a legal director to provide legal oversight, compliance guidance, and to perform such duties as customarily accompany such office; and

WHEREAS, the Director has represented that the Director possesses the qualifications, professional credentials, and capacity to perform such legal and fiduciary duties; and

WHEREAS, the parties desire to set forth the Director's acceptance of appointment and the terms upon which the Director will perform services for the Company.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Acceptance of Appointment

1.1 Appointment. The Company hereby appoints the Director to serve as Legal Director, and the Director hereby accepts such appointment, agreeing to perform the duties and responsibilities set forth in this Consent and in the Company's governing documents and applicable law.

1.2 Term. The Director's appointment shall commence on the Effective Date referenced above and shall continue until resignation, removal in accordance with the Company's governing documents, or termination pursuant to Section 7 of this Consent.

2. Duties; Authority

2.1 Duties. The Director shall provide legal advice and oversight, supervise legal compliance programs, manage outside counsel engagement, review and approve material legal documents, and perform such other duties as the Board or the Company's Chief Executive Officer may reasonably assign consistent with the Director's role as Legal Director.

2.2 Authority. Subject to applicable law and the Company's governing documents, the Director is authorized to bind the Company in legal matters only to the extent expressly delegated in writing by the Board. The Director shall not have unilateral authority to enter into material contracts, engage indebtedness, or dispose of Company assets except as expressly authorized by the Board.

3. Conflicts of Interest; Disclosure

3.1 Duty to Disclose. The Director represents and warrants that the Director has disclosed to the Company all material relationships, affiliations, financial interests, and prospective engagements that could reasonably be expected to create a conflict of interest with the Director's duties to the Company.

3.2 Resolution of Conflicts. If a material conflict arises, the Director shall promptly notify the Board in writing and, if requested by the Board, shall refrain from participating in decisions where a conflict exists until the Board determines an appropriate course of action.

4. Confidentiality

4.1 Confidential Information. The Director shall hold in strict confidence and shall not disclose to any third party any non-public information regarding the Company, its affiliates, business operations, trade secrets, financial information, customer lists, strategic plans, or any other information reasonably understood to be confidential (collectively, "Confidential Information"), except as required by law or as necessary to perform the Director's duties for the Company.

4.2 Return of Materials. Upon termination of the Director's appointment or upon the Company's written request, the Director shall promptly return all documents and materials containing Confidential Information and shall not retain any copies thereof.

5. Compliance with Law and Policies

The Director shall comply with all applicable laws, rules, regulations and the Company's codes, policies and procedures as in effect from time to time, including but not limited to insider trading policies, anti-corruption laws, and data protection requirements. The Director shall promptly disclose to the Board any material violation of law or policy of which the Director becomes aware.

6. Indemnification

To the maximum extent permitted by applicable law and the Company's governing documents, the Company shall indemnify and hold harmless the Director from and against any and all losses, liabilities, costs and expenses (including reasonable attorneys' fees) incurred by the Director by reason of acts or omissions arising out of the Director's service to the Company, provided that such indemnification shall not apply to liability arising from the Director's gross negligence, willful misconduct, or material breach of this Consent.

7. Termination

Either party may terminate this Consent at any time upon written notice to the other party. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations, confidentiality, and indemnification obligations arising under Section 6.

8. Notices

All notices, requests, consents and other communications required or permitted under this Consent shall be in writing and shall be delivered to the addresses set forth below (or to such other address as a party may designate by written notice).

9. Amendments; Waiver

This Consent may be amended, modified or supplemented only by a written instrument signed by both parties. No waiver by either party of any breach or default shall be deemed a waiver of any subsequent breach or default.

10. Counterparts; Electronic Signatures

This Consent may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. The parties agree that an electronic signature shall have the same force and effect as an original signature.

11. Governing Law

This Consent shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles.

12. Entire Agreement; Severability

12.1 Entire Agreement. This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

12.2 Severability. If any provision of this Consent is held to be invalid, illegal or unenforceable in any respect, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

13. Miscellaneous

Any expenses reasonably incurred by the Director in the performance of duties hereunder (including reasonable legal fees incurred in connection with any claim for indemnification under Section 6) shall be promptly reimbursed by the Company in accordance with the Company's policies and applicable law.
