RECITALS

2. EFFECTIVE DATE

Director acknowledges and reaffirms obligations of confidentiality and fiduciary duties owed to Company, including obligations under any existing confidentiality, non-disclosure or director service agreements. Director agrees not to disclose, use or exploit any confidential information of Company for any purpose other than as required by law.

6. COMPENSATION, BENEFITS AND EQUITY

Except as otherwise set forth in a separate written agreement, Director will be entitled to receive accrued but unpaid remuneration through the Effective Date and any vested benefits under applicable plans. Any treatment of equity awards, options or other long-term incentives shall be governed by the terms of the applicable award agreements and plan documents.

7. RELEASES; LIMITED REMEDIES

Except as provided in any separate written settlement agreement, nothing in this Resignation shall be construed as a general release by either party of claims existing at law or equity. The parties agree that remedies for any breach shall be limited to those remedies available at law or equity and that any dispute arising out of this Resignation shall be resolved in accordance with Section 12 (Governing Law).

8. BOARD ACCEPTANCE

The Board of Directors of Company acknowledges receipt of Director's resignation and, by execution of this instrument, accepts such resignation effective as of the Effective Date. The acceptance by the Board is without prejudice to any rights or claims Company may have arising from Director's actions while serving as a director.

9. NOTICES

All notices or other communications required or permitted under this Resignation shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this Section.

10. MISCELLANEOUS

Governing Law: This Resignation shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles.

Entire Agreement: This Resignation constitutes the entire agreement of the parties with respect to its subject matter and supersedes all prior understandings, agreements or representations, whether written or oral, relating thereto.
