LEGAL DIRECTOR'S ACT FORM

This Legal Director's Act (the Act) is made effective as of by and between Company Name: , a duly organized entity under the laws of (the Company), and Legal Director Name: , in the capacity of Legal Director.

Recitals

WHEREAS, the Board of Directors of the Company has determined it is in the best interest of the Company to authorize certain legal actions and delegations of authority to the Legal Director as described herein; and

WHEREAS, the Board of Directors met on and adopted a resolution authorizing the Legal Director to undertake the acts set forth in this Act; and

WHEREAS, the Company desires a written record of the specific powers, limitations and reporting obligations conferred upon the Legal Director.

Now, Therefore

NOW, THEREFORE, in consideration of the premises and the mutual covenants set forth below, the Company hereby adopts and the Legal Director accepts the following Act.

1. Authority

The Company hereby authorizes the Legal Director to undertake, on behalf of the Company, the legal acts described in Section 2 below, including, without limitation, negotiating, reviewing, approving and executing documents, initiating and defending litigation, settling claims, and procuring outside counsel, subject to the limitations set forth in this Act. Such actions shall be taken in the name of the Company and shall be binding upon the Company when undertaken in accordance with this Act.

2. Scope of Authorized Acts

The Legal Director is authorized to perform the following specific acts (describe scope, limits, and required approvals):

The Legal Director shall not incur, settle or compromise liabilities on behalf of the Company in excess of without prior written approval of the Board of Directors.

3. Effective Date and Term

This Act shall be effective as of the Effective Date set forth above and shall remain in force until revoked or amended by the Board of Directors in a written resolution. The Board may, at any time and in its sole discretion, terminate or modify this Act.

4. Duties, Reporting and Records

The Legal Director shall keep contemporaneous records of all actions taken pursuant to this Act and shall report in writing to the Board of Directors no less frequently than quarterly, and additionally upon request by the Board. All documents executed by the Legal Director on behalf of the Company pursuant to this Act shall be delivered to the Company for retention in the corporate records.

5. Delegation and Use of Outside Counsel

The Legal Director is authorized to retain outside counsel and to delegate tasks to members of the legal department or outside advisors as reasonably necessary to accomplish the duties set forth in this Act. The Legal Director shall select counsel and negotiate fees in a manner consistent with the Company's procurement policies and shall notify the Board of material retainers or fee arrangements exceeding the settlement limit set forth in Section 2.

6. Limitations and Conflicts

All actions taken by the Legal Director under this Act shall be subject to applicable law, the Company's organizational documents and policies. The Legal Director shall disclose any actual or potential conflict of interest to the Board and shall abstain from participating in actions where a conflict exists, unless the Board directs otherwise in writing.

7. Notices

Notices required or permitted under this Act shall be in writing and shall be delivered to the addresses designated below or to such other address as a Party shall designate by written notice in accordance with this Section.

8. Amendment, Waiver and Counterparts

This Act may be amended or supplemented only by a written instrument signed by both the Company and the Legal Director, or by a duly adopted written resolution of the Company's Board of Directors. No failure or delay by any Party in exercising any right hereunder shall operate as a waiver thereof. This Act may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

9. Governing Law; Entire Agreement; Severability

This Act shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. This Act constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Act is determined to be invalid or unenforceable, such determination shall not affect the remainder of this Act, which shall remain in full force and effect.
