LEGAL DISCLOSURE ADDENDUM

This Legal Disclosure Addendum ("Addendum") is made effective as of by and between Client Name: with principal address at and Service Provider Name: with principal address at . This Addendum supplements and modifies the terms of the underlying agreement between the parties dated (the "Agreement").

RECITALS

WHEREAS, the parties have entered into the Agreement under which certain disclosures of material information are required to permit the parties to perform their respective obligations; and

WHEREAS, the parties desire to set forth, in a single, binding instrument, the nature, scope and timing of all disclosures required to be made in connection with the Agreement and to allocate remedies and responsibilities if disclosures are incomplete or inaccurate; and

WHEREAS, the parties intend that this Addendum shall govern the disclosure obligations and related rights and remedies as set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Material Disclosure" means any fact, circumstance, claim, proceeding, financial obligation, relationship, or other information that is material to a party's performance under the Agreement or that a reasonable party in the position of the other party would consider material in deciding whether to enter into or continue the contractual relationship.

1.2 "Confidential Information" means information disclosed pursuant to this Addendum that is designated as confidential or that, by its nature, ought reasonably to be treated as confidential, excluding information that is or becomes publicly known other than by breach of this Addendum.

2. SPECIFIC DISCLOSURES

The parties acknowledge that the presence of a disclosure does not, by itself, constitute a waiver of any right, remedy or defense unless explicitly stated.

3. REPRESENTATIONS AND WARRANTIES

3.1 Each party represents and warrants that, to the best of its knowledge after reasonable inquiry, the disclosures made in Section 2 are true, complete and correct in all material respects as of the Effective Date and that the disclosing party has the authority to disclose the information provided.

3.2 Each party further represents that it has not knowingly omitted any Material Disclosure that would render the disclosures misleading when taken as a whole.

4. DUTY TO UPDATE

4.1 A disclosing party shall promptly update any disclosure that becomes inaccurate or incomplete in any material respect by delivering written notice to the non-disclosing party within days of discovering such inaccuracy or omission. If no number is provided, the parties agree on a default period of 10 days.

5. CONFIDENTIALITY AND USE

5.1 All disclosed information that is designated as confidential or that reasonably should be understood to be confidential shall be used solely for purposes of performing obligations under the Agreement and shall not be disclosed to any third party except to the extent permitted by the Agreement or required by law.

5.2 Each receiving party shall apply at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

6. REMEDIES

6.1 In the event of a material breach of the disclosure obligations set forth in this Addendum, the non-breaching party shall be entitled to all remedies available at law or in equity, including injunctive relief, specific performance, and recovery of damages, including consequential damages arising from the breach where such damages are permitted by applicable law.

6.2 The parties acknowledge that monetary damages may be an inadequate remedy for certain breaches of this Addendum and that equitable relief may be necessary to prevent irreparable harm.

7. INDEMNIFICATION

7.1 Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents (collectively, the "Indemnified Parties") from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the representations, warranties or disclosure obligations set forth in this Addendum.

8. LIMITATION OF LIABILITY

8.1 Except for liabilities arising from fraud, willful misconduct, or breaches of confidentiality or indemnification obligations under this Addendum, neither party shall be liable for punitive or exemplary damages. The parties' aggregate liability for damages arising under this Addendum shall not exceed the greater of (a) direct damages proven, or (b) the amounts paid or payable under the Agreement in the preceding twelve (12) months.

9. NOTICES

9.1 All notices required or permitted under this Addendum shall be in writing and delivered to the address provided above by hand delivery, certified mail (return receipt requested), or overnight courier, and shall be deemed delivered upon receipt.

10. AMENDMENTS, WAIVER, COUNTERPARTS

10.1 This Addendum may be amended or modified only by a written agreement executed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing.

10.2 This Addendum may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

11.2 This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

11.3 If any provision of this Addendum is held to be invalid, illegal or unenforceable in any respect, the remainder of this Addendum shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely approximates the parties' intent.

12. MISCELLANEOUS

12.1 The headings in this Addendum are for convenience only and shall not affect its interpretation. Any ambiguities shall not be construed against the drafting party.
