LEGAL DISCLOSURE AND ELECTION FORM

This Legal Disclosure and Election Form (the "Form") is made and entered into as of Effective Date: by and between Party A: whose address is and Party B: whose address is .

RECITALS

WHEREAS, Party A has provided or will provide certain information and materials that may be material to the rights, obligations or remedies available between the parties (the "Disclosures"); and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Disclosure" means any written or recorded statement, document, schedule, financial statement, contract, claim, or fact provided by a disclosing party and identified in Section 2 of this Form.

1.2 "Election" means the selection of one of the options set forth in Section 3 by the electing party within the Election Period established herein.

2. DISCLOSURES

3. ELECTION

3.1 Election Period. The electing party shall deliver notice of its Election to the disclosing party no later than Election Deadline: (the "Election Period").

3.2 Available Election Options. The electing party must indicate its election by selecting one of the options below. Unless otherwise agreed in writing, only one option may be selected. Check the box corresponding to the election chosen and provide any required supporting information.

4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full power and authority to execute and deliver this Form and to perform its obligations hereunder; (b) the execution, delivery and performance of this Form will not violate any agreement or law binding upon it; and (c) all facts and documents provided as Disclosures are, to the best of the representing party's knowledge after reasonable inquiry, true, complete and accurate in all material respects as of the date of those Disclosures.

5. CONFIDENTIALITY

The parties acknowledge that Disclosures may constitute Confidential Information. Except as otherwise required by law or as expressly permitted in writing, the receiving party shall hold Confidential Information in strict confidence, shall use it solely for the purposes of evaluating or implementing the Election, and shall not disclose it to third parties other than those employees, agents or advisors with a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

6. NOTICES

6.1 All notices, elections and communications required or permitted under this Form must be in writing and shall be delivered to the parties at the addresses set forth below (or to such other address as a party may designate in writing).

7. REMEDIES; LIMITATION OF LIABILITY

The remedies provided under this Form are cumulative and in addition to any other remedies available at law or in equity. No party shall be liable for punitive damages absent willful misconduct. Monetary damages shall be limited to direct damages arising from a breach of the representations and warranties contained herein, except where a contrary remedy is expressly provided by statute or agreed in writing by the parties.

8. AMENDMENT; WAIVER; COUNTERPARTS

This Form may be amended only by a written instrument signed by both parties. No waiver of any breach shall be effective unless in writing signed by the waiving party. This Form may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

9.1 Governing Law. This Form shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to principles of conflicts of law.

9.2 Severability. If any provision of this Form is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
