To the fullest extent permitted by law, Authorizing Party releases and agrees to indemnify and hold harmless Recipient and its agents from any claims, liabilities, damages, losses, or expenses arising out of disclosure made in accordance with this Authorization, except for disclosures made negligently or intentionally in violation of this Authorization.

7. CONFIDENTIALITY AND LIMITATIONS ON USE

Recipient shall treat the disclosed information as confidential and shall not disclose or use such information except as reasonably necessary to accomplish the Purpose of Disclosure or as required by law. Recipient shall implement reasonable administrative, technical, and physical safeguards to protect the confidentiality and integrity of the disclosed information.

8. FEES AND COSTS

Any reasonable fees charged by custodians of records for retrieval or duplication shall be borne by . Recipient shall not seek to recover fees from Authorizing Party unless agreed in writing.

9. NOTICES

Notices under this Authorization shall be given in writing and shall be deemed effective upon receipt when delivered by hand, courier, certified mail, or electronic transmission with confirmation of receipt to the addresses provided above or to such other address as either party may designate in writing.

10. REPRESENTATIONS AND WARRANTIES

Authorizing Party represents and warrants that Authorizing Party has the full right and authority to execute this Authorization and to permit the disclosure of the information described herein. Recipient represents and warrants that Recipient will use the disclosed information only as permitted by this Authorization and applicable law.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Authorization shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. This Authorization contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written.
