RECITALS

WHEREAS, Claimant asserts that Respondent engaged in actions giving rise to a dispute described herein, including but not limited to breach of contract, negligent acts, or other causes of action relevant to the facts alleged; and

1. DEFINITIONS

For purposes of this Form, "Dispute" means the Claimant's asserted claims against Respondent as described in Section 2. "Claimant" and "Respondent" refer to the parties identified above. "Day" means calendar day unless otherwise specified.

3. CLAIM AMOUNT AND REMEDIES

Claimant specifies the monetary and non-monetary remedies sought. Claimant acknowledges that stated amounts are subject to verification and adjustment based on evidence.

4. EVIDENCE AND ATTACHMENTS

Each party shall attach or identify contemporaneous documents, photographs, correspondence, and other materials supporting its position. Failure to provide requested evidence may be considered in any resolution procedure selected by the parties.

6. DISPUTE RESOLUTION

8. COSTS, ATTORNEYS' FEES, AND INTEREST

Unless otherwise agreed in writing, the prevailing party in any adjudication or arbitration of this Dispute shall be entitled to recover reasonable costs and attorneys' fees, and prejudgment and postjudgment interest as permitted by applicable law.

9. NOTICES

All notices required or permitted under this Form shall be in writing and delivered by hand, certified mail (return receipt requested), or commercial courier to the addresses set forth below or to any other address a party designates in writing in accordance with this Section.

10. GOVERNING LAW

This Form and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY

This Form constitutes the entire agreement between the parties with respect to the Dispute and supersedes all prior oral and written understandings. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Form shall be effective unless in writing and signed by authorized representatives of both parties. Failure to enforce any provision shall not constitute a waiver of that provision. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
