RECITALS

"Update" means the contents of this document and any attachments appended hereto that describe specific Docket Entries.

3. REPRESENTATIONS, WARRANTIES AND COVENANTS

Updating Party represents and warrants that: (a) it has reviewed the court file and records reasonably available to it; (b) to the best of its knowledge, the entries set forth in Section 2 are true and correct as of the Effective Date; and (c) it will promptly notify Receiving Party of any material corrections or additions discovered after execution of this Update.

Receiving Party represents and warrants that it has received the information set forth herein and will notify Updating Party in writing within five (5) business days of any disagreement with the entries identified in Section 2. Absent timely written objection, the parties agree the entries shall be deemed accurate for the limited purposes of case management between the parties.

4. CERTIFICATION OF ACCURACY

The undersigned authorized representatives of the parties each certify under penalty of perjury under applicable law that the information set forth in this Update is true and correct to the best of their knowledge, information, and belief after reasonable inquiry. Each party acknowledges that this Update is not a substitution for records filed with the court and that any party may, at its discretion, seek to file a formal stipulation or notice with the court to reflect the information contained herein.

5. EFFECT ON COURT ORDERS AND DEADLINES

Nothing in this Update shall modify, extend, or alter any deadline or order entered by the court absent a separate stipulation or court order. The parties understand that calendar entries and docket notations do not, by themselves, change court-ordered deadlines.

6. NOTICES

All notices, requests, consents, claims, demands and other communications hereunder shall be in writing and shall be delivered to the party at the address set forth below or such other address as such party may designate in writing in accordance with this Section.

7. AMENDMENTS; WAIVER; COUNTERPARTS

This Update may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right under this Update will operate as a waiver of that right. This Update may be executed in counterparts, each of which will be an original and all of which together will constitute one and the same instrument.

8. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Update shall be governed by and construed in accordance with the substantive laws of the state identified below, without regard to conflict-of-law principles. If any provision of this Update is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. This Update constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations.
