1. SCOPE OF WORK

1.1 Services. Legal Provider shall draft, prepare, and deliver the documents requested by Requesting Party, including but not limited to those identified in the Documents Requested field, apply appropriate legal research, and incorporate reasonable revisions requested by Requesting Party as set forth in Section 4. Legal Provider will act consistent with applicable law and professional obligations.

2. CLIENT RESPONSIBILITIES

2.1 Cooperation. Requesting Party shall provide Legal Provider with all information, documents, and authorizations reasonably required to prepare the requested documents, including identifying parties, material facts, and any preferred contractual terms. Failure to provide timely or accurate information may delay delivery and may constitute a basis for additional fees.

3. FEES AND PAYMENT

3.1 Fee Structure. Requesting Party shall pay Legal Provider in accordance with the selected fee arrangement. If a flat fee is selected, that fee includes reasonable drafting and one round of revisions. Additional revisions, research, or negotiations will be billed at the hourly rate set forth below.

4. TURNAROUND, DELIVERY, AND DRAFTS

4.1 Delivery. Legal Provider will deliver the initial draft to Requesting Party by the requested deadline where feasible. Delivery may be electronic unless otherwise specified.

5. CONFIDENTIALITY AND ATTORNEY‑CLIENT PRIVILEGE

5.1 Confidentiality. The parties acknowledge that information disclosed in connection with this Request is subject to confidentiality. Legal Provider shall maintain confidentiality consistent with applicable professional obligations.

5.2 Privilege. To the extent legally appropriate and requested by Requesting Party, communications and documents prepared by Legal Provider will be treated as privileged and protected; Requesting Party requests the following protection status:

6. APPROVALS; TIMING FOR ACCEPTANCE

6.1 Approval Period. Requesting Party shall review each draft and provide written approval or consolidated comments within days of delivery. Failure to respond within that period shall be deemed approval of the draft for purposes of finalization.

7. REPRESENTATIONS AND WARRANTIES

7.1 Client Representations. Requesting Party represents that it has full authority to request the documents and that all facts and materials supplied to Legal Provider are complete and accurate to the best of Requesting Party's knowledge.

7.2 Provider Representations. Legal Provider represents that the services will be performed in a competent and professional manner in accordance with the standards of the legal profession.

8. LIMITATION OF LIABILITY

8.1 Except for willful misconduct or gross negligence, each party's liability arising from or related to this Request shall be limited to direct damages not to exceed the total fees paid to Legal Provider under this Request. Neither party shall be liable for consequential, incidental, or punitive damages.

9. TERMINATION

9.1 Either party may terminate this Request upon written notice if the other party materially breaches any obligation and fails to cure within 10 days after receipt of written notice. Upon termination, Requesting Party shall pay Legal Provider for all services performed and costs incurred through the effective date of termination.

10. NOTICES

All notices under this Request shall be in writing and delivered to the addresses below by hand, courier, or certified mail (return receipt requested), or by confirmed electronic mail to the designated contacts.

11. GOVERNING LAW

This Request shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Request.

12. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENTS

12.1 Entire Agreement. This Request constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, proposals, and communications, whether written or oral.

13. COUNTERPARTS
