Legal Document Transfer

This Legal Document Transfer Agreement ("Agreement") is made effective as of Effective Date: by and between Transferor Name: whose principal address is (hereinafter "Transferor"), and Transferee Name: whose principal address is (hereinafter "Transferee").

RECITALS

WHEREAS, Transferor is the current lawful owner or holder of certain documents, records, instruments, writings, tangible items and any associated rights described below; and

WHEREAS, Transferee desires to acquire from Transferor, and Transferor desires to convey and assign to Transferee, all of Transferor's right, title and interest in and to the documents, subject to the terms, exceptions and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to effect an irrevocable transfer and assignment of the identified documents and any ancillary rights necessary to permit Transferee to exercise ownership and control as specified below.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Transferred Documents" means the documents, instruments, files, records, correspondence, electronic files, and other materials described in Section 2 and identified in the schedule attached to or incorporated by reference in this Agreement.

2. TRANSFER AND ASSIGNMENT

2.1 Transfer. Transferor hereby irrevocably assigns, transfers, conveys and delivers to Transferee all of Transferor's right, title and interest in and to the Transferred Documents, together with all associated rights, privileges and claims including, where applicable, copyright, trademark, proprietary, contractual and confidentiality rights, except for the exclusions expressly set forth in Section 2.3.

2.2 Scope of Rights. The transfer effected by this Agreement includes the right to copy, modify, register, license, sell, distribute, and otherwise exploit the Transferred Documents to the full extent permitted by law, subject to the reservations and limitations expressly stated herein.

2.3 Excluded Interests. Transferor expressly excludes any and all interests which it does not own or cannot assign by operation of law, including rights of third parties, liens or security interests disclosed in writing prior to the Effective Date.

3. CONSIDERATION

In consideration for the transfer, Transferee shall pay to Transferor the sum of payable as follows: . The parties acknowledge that such consideration constitutes fair and adequate consideration for the rights transferred herein.

4. DELIVERY AND ACCEPTANCE

4.1 Delivery. Transferor shall deliver to Transferee physical and/or electronic copies of the Transferred Documents within days of the Effective Date. Methods of delivery may include hand delivery, courier, electronic transfer, or other mutually agreed means.

4.2 Acceptance. Transferee shall have a period of days following delivery to inspect and either accept or notify Transferor in writing of any defects or deficiencies. Failure to provide timely notice shall constitute acceptance.

5. REPRESENTATIONS AND WARRANTIES

5.1 Transferor Representations. Transferor represents and warrants to Transferee that: (a) Transferor is the sole legal owner of the Transferred Documents or otherwise has full authority to transfer the rights thereunder; (b) the Transferred Documents are free and clear of any undisclosed liens, encumbrances or adverse claims; (c) to Transferor's knowledge, Transfer of the documents does not violate any material agreement, law or third-party right; and (d) Transferor has not previously assigned, licensed or otherwise encumbered the rights being transferred except as expressly disclosed in writing.

5.2 Transferee Representations. Transferee represents that it has full power and authority to enter into this Agreement and to consummate the transactions contemplated herein and that its performance will not breach any contract or obligation to third parties.

6. COVENANTS; FURTHER ASSURANCES

Each party shall execute and deliver such further instruments and take such further actions as may be reasonably necessary to effectuate the purposes of this Agreement, including but not limited to assignments, consents and instruments of transfer.

7. CONFIDENTIALITY

The parties acknowledge that certain Transferred Documents may contain confidential or proprietary information. Each party shall maintain the confidentiality of such information and shall not disclose or use it except as necessary to exercise the rights granted herein or as required by law. Confidentiality obligations shall survive termination or expiration of this Agreement.

8. TAXES AND COSTS

Unless otherwise stated, each party shall bear its own costs and expenses incurred in connection with the preparation, negotiation and execution of this Agreement. Any transfer, sales, documentary, recording or similar taxes arising from the transfer shall be paid by .

9. INDEMNIFICATION

9.1 Transferor Indemnity. Transferor shall indemnify, defend and hold harmless Transferee from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of Transferor's representations, warranties or covenants under this Agreement.

9.2 Transferee Indemnity. Transferee shall indemnify, defend and hold harmless Transferor from and against any and all losses, liabilities, claims, damages and expenses arising from Transferee's use or exploitation of the Transferred Documents after the Effective Date, except to the extent such losses arise from Transferor's breach.

10. LIMITATION OF LIABILITY

Except for breaches of representations and indemnification obligations, neither party shall be liable to the other for consequential, incidental, punitive or special damages, and the aggregate liability of either party for direct damages arising under this Agreement shall not exceed the total consideration actually paid by Transferee to Transferor under Section 3.

11. NOTICES

All notices, consents, requests and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the parties at the addresses set forth below or at such other address as a party may designate by notice in accordance with this Section. Notices shall be deemed given upon personal delivery, upon confirmed delivery by courier, or three (3) business days after mailing by certified mail.

12. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that state for the resolution of any disputes arising under this Agreement.

13. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

14. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be deemed originals for all purposes.

Each party certifies that the person signing on its behalf is duly authorized to execute this Agreement and to bind the party to its terms. The parties further certify that the information provided in this Agreement is true, correct and complete to the best of their knowledge.
