LEGAL DOCUSIGN AGREEMENT

This Electronic Signature Agreement (the "Agreement") is entered into as of , by and between Party A: , Entity Type: with principal place of business at ; and Party B: , Entity Type: with principal place of business at .

RECITALS

WHEREAS, Party A and Party B desire to execute and exchange certain documents and records by electronic means in connection with their business dealings and to establish the terms under which electronic signatures, records and communications shall have the same force and effect as handwritten signatures and paper records; and

WHEREAS, the parties anticipate that documents requiring signature and records evidencing transactions (collectively, "Transactions") will be signed, delivered and stored using electronic systems and intend to adopt a uniform process for consent, authentication, retention and audit of such Transactions; and

WHEREAS, the parties desire to set forth their mutual agreements and procedures for the use of electronic signatures and electronic records.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Electronic Signature" means an electronic symbol or process attached to or logically associated with a record and executed or adopted by a person with the intent to sign the record. "Electronic Record" means a record created, generated, sent, communicated, received or stored by electronic means. "Service Provider" means the third-party electronic transaction system or platform used to create, transmit, accept, store or authenticate Electronic Signatures and Electronic Records. References to "Party" or "Parties" mean Party A and Party B as identified above.

2. CONSENT TO ELECTRONIC TRANSACTIONS

Each Party hereby consents to conduct Transactions by electronic means and agrees that any Electronic Signature on an Electronic Record shall be binding and enforceable to the same extent as a handwritten signature on a paper document, to the extent permitted by applicable law. Consent may be withdrawn only as set forth in Section 9 (Notices). Consent applies to all documents and records related to Transactions between the Parties unless a Party expressly rejects electronic delivery for a particular Transaction in a signed writing.

3. AUTHENTICATION & SECURITY

Each Party shall be responsible for maintaining the confidentiality and security of authentication credentials, access codes and account information used to execute Electronic Signatures. A Party shall promptly notify the other Party if it reasonably believes its authentication credentials have been compromised. The Parties agree that authentication methods may include, but are not limited to, email confirmation, access codes, multi-factor authentication, or other industry-standard authentication processes as agreed in writing. The Parties acknowledge that the reliability of Electronic Signatures depends on proper security practices and agree to implement commercially reasonable safeguards.

4. RECORD RETENTION & AUDIT TRAIL

The Service Provider or the party maintaining records shall retain an auditable electronic record of each Transaction, including metadata that evidences the identity of signatories, timestamps, and the method of authentication. The Parties agree that records preserved in electronic form in a manner that accurately reflects the information and remains accessible for subsequent reference shall constitute an original record for all purposes. Each Party may request a certified copy of an Electronic Record and its audit trail from the other Party or Service Provider; the providing Party shall make a commercially reasonable effort to supply such records within a reasonable time and at its cost unless otherwise agreed.

5. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that (a) it has full power and authority to enter into this Agreement and to perform its obligations hereunder, (b) any person executing Electronic Signatures on its behalf is duly authorized to do so, and (c) its consent to the use of Electronic Signatures is knowingly and voluntarily given.

6. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS OR LOSS OF REPUTATION. A PARTY'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AGGREGATE AMOUNTS, IF ANY, PAID BY THE CLAIMING PARTY TO THE OTHER PARTY PURSUANT TO THE UNDERLYING TRANSACTION GIVING RISE TO THE CLAIM.

7. INDEMNIFICATION

Each Party ("Indemnifying Party") shall indemnify, defend and hold harmless the other Party ("Indemnified Party") from and against any losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of claims by third parties to the extent caused by the Indemnifying Party's breach of this Agreement, negligence, willful misconduct, or failure to secure authentication credentials.

8. TERM; TERMINATION

This Agreement shall commence on the Effective Date and shall remain in effect until terminated in writing by either Party upon thirty (30) days' prior written notice to the other Party. Termination shall not affect the validity or enforceability of Electronic Records executed or created prior to termination, and any provisions that by their nature survive termination shall so survive.

9. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate by notice pursuant to this Section. Delivery by email shall be effective upon successful transmission provided that the sender does not receive an error message indicating delivery failure.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended or modified only by a written instrument signed by both Parties. No waiver of any provision shall be effective unless in a writing signed by the Party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Electronic copies, facsimiles and PDF copies of signatures shall be binding.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflicts of law rules. Governing law state: .

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements, written or oral, regarding electronic signatures and electronic records. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. MISCELLANEOUS PROVISIONS

The Parties acknowledge that an Electronic Signature, including a typed name or a signature executed through an electronic signing platform, is intended to authenticate the signatory's identity and to have the same force and effect as a handwritten signature. Nothing in this Agreement shall prevent either Party from requiring a wet-ink signature for any particular Transaction if agreed in writing.
