LEGAL DRO AGREEMENT

This Debt Relief Order Agreement (the Agreement) is made and entered into as of Effective Date: by and between Client Name: with principal address at (Client), and Debt Relief Organization Name: with principal address at (DRO). The Client and the DRO are each a Party and collectively the Parties.

RECITALS

WHEREAS, the Client seeks relief from qualifying unsecured debts through procedures administered by the DRO and agrees to cooperate with reasonable requests by the DRO in order to effectuate a Debt Relief Order consistent with applicable law and this Agreement;

WHEREAS, the DRO represents that it has the authority, expertise, and requisite processes to prepare and administer a Debt Relief Order on behalf of the Client, including compiling creditor schedules, filing necessary documentation, and liaising with creditors and administrative bodies as set forth herein; and

WHEREAS, the Parties desire to set forth their respective obligations, fees, representations and warranties, and the procedure for issuance and administration of the Debt Relief Order pursuant to the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the sufficiency of which is acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Debt Relief Order" means the formal order, judgment, or administrative determination that relieves the Client of qualifying unsecured debts in accordance with applicable insolvency or debt relief procedure.

1.2 "Confidential Information" means nonpublic information disclosed by one Party to the other in connection with this Agreement, including financial statements, creditor lists, and personal identifying information of the Client.

2. SCOPE OF SERVICES

2.1 The DRO shall provide services necessary to prepare, file, and pursue a Debt Relief Order on behalf of the Client, which services may include: (a) compilation of creditor schedules and supporting documentation; (b) preparation and filing of all required forms and notices; (c) communication with creditors and administrative bodies; and (d) monitoring and administration of the Debt Relief Order after issuance.

2.2 The DRO shall perform services with reasonable care, in good faith, and in accordance with applicable professional standards. The DRO does not guarantee the issuance of a Debt Relief Order; the DRO will use commercially reasonable efforts to pursue relief.

3. CLIENT OBLIGATIONS AND REPRESENTATIONS

3.1 The Client shall provide complete, accurate and timely information and documentation necessary for the DRO to perform the Services, including a full list of creditors and amounts owed. The Client shall promptly notify the DRO of any material changes to such information.

3.2 The Client represents and warrants that all information provided to the DRO is true, correct, and complete to the best of the Client's knowledge. The Client acknowledges that any material misstatement or omission may be grounds for denial of relief or termination of this Agreement.

3.3 The Client authorizes the DRO to obtain credit reports, verify income and assets, and communicate with creditors and third parties as necessary to pursue the Debt Relief Order.

4. FEES, EXPENSES AND PAYMENT

4.1 The Client shall pay the fees set forth above and reimburse the DRO for reasonable out-of-pocket expenses directly incurred in performing the Services. Unless otherwise agreed in writing, fees are non-refundable once services have been substantially performed.

5. CONFIDENTIALITY AND DATA PROTECTION

5.1 Each Party shall maintain the confidentiality of Confidential Information and shall not disclose such information to any third party except as reasonably necessary to perform the Services, to comply with law, or with the prior written consent of the disclosing Party.

5.2 The DRO shall implement reasonable technical and organizational measures to protect the Client's personal and financial data against unauthorized access, disclosure, alteration or destruction.

6. LIMITATION OF LIABILITY

6.1 Except for liability arising from gross negligence, willful misconduct, or fraudulent acts, neither Party shall be liable to the other for consequential, incidental, punitive or special damages, and the DRO's aggregate liability in connection with this Agreement shall not exceed the total fees paid by the Client under this Agreement.

7. TERM AND TERMINATION

7.1 This Agreement commences on the Effective Date and continues until the earlier of (a) issuance of a Debt Relief Order and completion of post-issuance administration, or (b) termination by either Party in accordance with this Section.

7.2 Either Party may terminate this Agreement upon written notice if the other Party materially breaches any provision and fails to cure within days after receipt of notice.

8. NOTICES

8.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a Party may designate by written notice. Notices are effective upon receipt.

9. AMENDMENTS; WAIVER

9.1 No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. Failure or delay by either Party to exercise any right or remedy shall not constitute a waiver of such right.

10. ASSIGNMENT

10.1 Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except that the DRO may assign to an affiliate in connection with a sale of its business provided that the assignee assumes all obligations hereunder.

11. COUNTERPARTS

11.1 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by the Parties: , without regard to conflict of laws principles.

12.2 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

12.3 Entire Agreement. This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings and representations, whether written or oral.

13. ADDITIONAL PROVISIONS

The Parties acknowledge that they have read and understand this Agreement, that they have had the opportunity to seek independent advice, and that they voluntarily accept the terms contained herein.
