RECITALS

WHEREAS, Client has engaged, or seeks to engage, Firm to provide legal services relating to disputes, enforcement, licensing, or other legal matters involving desktop publishing, digital layout, design files, source files, metadata, fonts, or related intellectual property (collectively, "DTP Materials");

WHEREAS, the parties desire to set forth the terms and conditions governing Firm's engagement, fee arrangements, data preservation, chain-of-custody procedures for DTP Materials, confidentiality obligations, and other matters material to prosecution, defense, or settlement of the DTP Case;

WHEREAS, the parties intend that this Agreement memorialize the scope of representation and the respective responsibilities of the parties with respect to the DTP Case.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, "DTP Materials" means all digital and physical files, drafts, fonts, layout files, images, metadata, color profiles, and related materials provided by Client or otherwise collected in the course of representation. "Deliverables" means documents, pleadings, opinions, or other materials produced by Firm in the course of representation.

2. SCOPE OF ENGAGEMENT

Services may include review and preservation of DTP Materials, counsel regarding copyright, licensing, distribution, preparation of pleadings, discovery, settlement negotiations, and related litigation tasks.

3. CLIENT OBLIGATIONS

Client shall: (a) deliver and maintain custody of original DTP Materials or provide verified copies and full access to editable source files; (b) provide accurate factual information and execute documents reasonably required for representation; and (c) preserve all originals, metadata, and transmission records relevant to the DTP Case and not alter or delete electronic or physical evidence after notice of potential litigation.

4. FIRM OBLIGATIONS

Firm shall exercise reasonable professional skill and care customary in the representation of clients in matters involving DTP and intellectual property. Firm will maintain confidentiality of Client information subject to applicable law and will take reasonable measures to preserve the integrity of DTP Materials in its custody, including metadata preservation and records of access.

5. FEES AND BILLING

Client agrees to pay Firm at the hourly rates and/or flat fees set forth below. Hourly rates are subject to adjustment upon reasonable notice. Billing statements will itemize time, expenses, and disbursements. Payment is due within thirty (30) days of invoice unless otherwise agreed.

6. PRESERVATION, CHAIN OF CUSTODY, AND E-DISCOVERY

The parties acknowledge that preservation of original DTP Materials and associated metadata is critical. Client will refrain from modifying or deleting files once litigation is reasonably anticipated. Firm will implement chain-of-custody logs for any physical or digital materials it receives, shall document transfer, storage, and access, and shall employ reasonable measures to prevent inadvertent alteration of file metadata. If forensic imaging, hashing, or other preservation methods are required, Client authorizes Firm to engage qualified vendors at Client's expense, subject to prior written approval for any material vendor expenditure over .

7. INTELLECTUAL PROPERTY AND USE OF MATERIALS

Client represents that it has authority to disclose DTP Materials to Firm for the purposes of representation. Nothing in this Agreement transfers ownership of Client intellectual property to Firm. Firm may retain copies of Deliverables in its files for archival and compliance purposes, subject to confidentiality obligations herein. Return or destruction of original files will occur as directed by Client following final resolution, provided all outstanding fees are paid.

8. CONFIDENTIALITY

Firm shall maintain the confidentiality of non-public Client information in accordance with applicable rules of professional conduct. Confidential information shall not be disclosed except as required by law, court order, or to carry out representation (including disclosure to vendors engaged under this Agreement), provided that such vendors are bound by confidentiality obligations no less protective than those contained herein.

9. LIMITATION OF LIABILITY

Except to the extent prohibited by governing law, Firm's liability for any claim arising from or related to this Agreement or the services provided shall be limited to direct damages not to exceed the amount of fees paid by Client to Firm under this Agreement for the specific matter during the twelve (12) months preceding the claim. In no event shall Firm be liable for indirect, consequential, special, or punitive damages.

10. INDEMNIFICATION

Client shall indemnify, defend, and hold Firm harmless from and against any third-party claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of Client's breach of representations herein or Client's failure to preserve or disclose relevant DTP Materials, except to the extent such claims result from Firm's gross negligence or willful misconduct.

11. TERMINATION

Either party may terminate this Agreement upon written notice if the other materially breaches this Agreement and fails to cure within fourteen (14) days after receipt of written notice of such breach. Firm may withdraw from representation in accordance with applicable rules of professional conduct. Upon termination, Client remains responsible for fees and costs accrued through the effective date of termination.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or commercial courier to the addresses set forth below or to such other address as a party may designate by written notice.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. Failure to enforce any provision shall not constitute a waiver of that provision. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, understandings, and agreements. If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be severed and the remainder of the Agreement shall remain in full force and effect.

16. MISCELLANEOUS

The parties acknowledge that they have read and understand this Agreement, and that they have had the opportunity to obtain independent legal advice prior to execution. Headings are for convenience only and shall not affect interpretation.
