LEGAL DUI ADDENDUM

This Legal DUI Addendum (the "Addendum") is made effective as of by and between Employer: with principal place of business at , and Employee: residing at . This Addendum amends the existing agreement titled dated (the "Agreement").

RECITALS

WHEREAS, Employer and Employee entered into the Agreement under which Employee performs duties that may include the operation of Employer vehicles or other duties where driving records and criminal convictions are material to Employee's continuing suitability for employment; and

WHEREAS, Employer requires clear procedures and disclosures related to arrests or convictions for driving under the influence of alcohol or drugs ("DUI") to protect safety, regulatory compliance, and Employer property; and

WHEREAS, the Parties desire to set forth additional rights, obligations, and remedies related to DUI incidents that shall supplement and, where in conflict, control over the terms of the Agreement.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Addendum, "DUI" means any arrest, charge, conviction, plea of nolo contendere, diversion, or participation in a pretrial or post-conviction program for driving under the influence of alcohol or drugs, driving while intoxicated, operating under the influence, or similar offense under applicable law.

2. EMPLOYEE REPRESENTATIONS AND DISCLOSURE

Employee represents and warrants that Employee has provided accurate information regarding prior DUI matters as of the Effective Date. Employee shall promptly disclose to Employer any arrest, charge, plea, conviction, diversion, or similar disposition related to DUI occurring after the Effective Date. Employee shall notify Employer in writing within days of any such event.

Prior DUI history: I attest I have no prior DUI arrests or convictions.

3. BACKGROUND CHECKS; RECORDS RELEASE

Employee authorizes Employer to obtain and review criminal records, motor vehicle records, court dispositions, and other official records related to DUI for purposes of evaluating Employee's fitness for duties. Employee's authorization survives termination of employment to the extent permitted by law.

4. TESTING REQUIREMENTS

Employer may require alcohol and drug testing following any accident, reasonable suspicion of impairment, or after notification of a DUI-related arrest. Employee agrees to submit to testing upon request. Refusal to submit to permitted testing or a confirmed positive result may constitute noncompliance and may result in disciplinary action up to and including termination.

Employer's right to require testing is subject to applicable law and shall be exercised in a manner consistent with Employer policies and any collective bargaining agreement where applicable.

5. EMPLOYMENT ACTIONS

A confirmed DUI conviction, plea, or failure to timely disclose a qualifying DUI event may result in reassignment, suspension without pay, revocation of driving privileges, or termination for cause. Employer will make employment decisions based on the nature of the offense, proximity to job duties, operational needs, and applicable law.

6. INDEMNIFICATION

Employee agrees to indemnify and hold Employer harmless from liability, fines, costs, or loss arising from Employee's failure to disclose DUI matters as required by this Addendum, provided Employer's actions were reasonable and taken in reliance on Employee representations.

7. CONFIDENTIALITY OF RECORDS

Employer will treat DMV records, criminal history, and testing results as confidential and will limit dissemination to persons with a business need to know, or as required by law. Notwithstanding the foregoing, Employer may disclose relevant information to regulators, insurers, or law enforcement where required.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Addendum may be amended only by a written instrument signed by both Parties. No waiver of any provision shall be effective unless in writing and signed by the waiving Party. This Addendum may be executed in counterparts, each of which shall be deemed an original.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Addendum shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. This Addendum, together with the Agreement, constitutes the entire agreement of the Parties with respect to DUI matters and supersedes all prior understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. MISCELLANEOUS PROVISIONS

If Employee is subject to any union, regulatory, or statutory scheme that affects the implementation of this Addendum, Employer and Employee shall cooperate to implement this Addendum consistent with those obligations. Employer's exercise of discretion under this Addendum shall be reasonable, documented, and in good faith.
