LEGAL DUI WAIVER

This Legal DUI Waiver (the "Agreement") is made and entered into on Effective Date: by and between Releasor Name: with address: ("Releasor") and Releasee Name: with address: ("Releasee").

RECITALS

WHEREAS, on Offense Date: the Releasor was alleged to have committed a driving under the influence offense arising from certain facts and circumstances that gave rise to claims, citations, administrative actions or criminal proceedings against the Releasor; and

WHEREAS, Releasor and Releasee desire to resolve and compromise all claims, demands, causes of action and liabilities, whether known or unknown, arising out of or related to the matters and events described above, on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to fully and finally resolve any dispute between them, subject to the express terms contained herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, receipt of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Claims" means any and all past, present or future claims, liabilities, actions, causes of action, demands, losses, damages, fines, penalties, costs, expenses or obligations of any kind or nature, whether in law or equity, whether known or unknown, suspected or unsuspected, arising out of or in any way connected with the incident, citation, arrest, prosecution or administrative action concerning the Offense Date identified above.

"Released Parties" includes the Releasee, its officers, directors, employees, agents, attorneys, insurers, successors and assigns, and any governmental entity, law enforcement officer or other person associated with the investigation, arrest, citation, testing or prosecution of the matter.

2. RELEASE AND WAIVER

In consideration of the promises and consideration set forth in this Agreement, Releasor, on behalf of Releasor and Releasor's heirs, executors, administrators, agents, representatives and assigns, hereby irrevocably and unconditionally releases, remises and forever discharges the Released Parties from any and all Claims arising out of or related to the events described in the Recitals. This release expressly includes any claim for personal injury, emotional distress, property damage, loss of consortium, or punitive damages, and extends to claims that are known or unknown to Releasor at the time of execution.

3. CONSIDERATION

As full and complete consideration for the promises and releases set forth in this Agreement, Releasee agrees to provide to Releasor the following: Payment Amount: ; or other consideration described as: . Payment or other consideration shall be delivered as set forth in this Agreement.

4. NO ADMISSION OF LIABILITY

The parties acknowledge and agree that this Agreement is a compromise of disputed claims and that neither the execution of this Agreement nor the furnishing of consideration shall constitute an admission of liability or wrongdoing by any party. Each party expressly denies any wrongdoing.

5. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that Releasor is of lawful age, has the full right, power and authority to enter into this Agreement, and is not under duress or undue influence in executing this Agreement. Releasor acknowledges receipt of sufficient consideration and that Releasor has read and understands the terms of this Agreement.

Releasor further represents that Releasor has been advised of the right to consult with independent legal counsel and has either consulted legal counsel or knowingly and voluntarily declined to do so. Releasor has: consulted counsel    declined counsel

6. CONFIDENTIALITY

Except as required by law or as reasonably necessary to effectuate the terms of this Agreement, the parties shall keep the terms, amount and existence of this Agreement confidential. Disclosure to immediate family, tax advisors or legal counsel is permitted provided those persons are informed of the confidentiality obligations herein and agree to be bound by them.

7. INDEMNIFICATION

Releasor shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, demands, suits, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Releasor's breach of this Agreement, or from any assertion by any third party of claims released by Releasor herein.

8. COOPERATION

Following execution of this Agreement, the parties shall cooperate in good faith to effectuate its terms, including execution of such additional documents and instruments as may be reasonably necessary to carry out the intent of this Agreement.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or sent by certified mail, return receipt requested, to the addresses provided above or to such other address as a party may designate in writing.

10. AMENDMENT AND WAIVER

No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall be deemed a waiver of any other breach or of the same breach at any other time.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

12. ENTIRE AGREEMENT

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written.

13. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal or unenforceable under applicable law, such provision shall be deemed severed and the remaining provisions shall remain in full force and effect.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic copies of signatures shall be deemed originals for all purposes.

15. ADDITIONAL INFORMATION

ACKNOWLEDGMENT AND CERTIFICATION

The Releasor certifies and acknowledges that Releasor has read this Agreement in its entirety, that Releasor fully understands its terms, including the scope of the release and waiver contained herein, and that Releasor is executing this Agreement voluntarily and with full knowledge of its legal effect.
