LEGAL E-FILE AUTHORIZATION

This Legal E-File Authorization (the "Authorization") is made effective as of Effective Date: by and between Client Name: with Client Address: ("Client") and Authorized E-Filer Name: with Bar or Company ID: and Agent Address: ("Agent"). Each of Client and Agent may be referred to below individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Client desires to permit Agent to submit pleadings, exhibits, notices, orders, filings, and related documents electronically on Client's behalf in one or more matters identified as Matter/Case Number(s): before courts or administrative tribunals where electronic filing is available; and

WHEREAS, Agent is willing to accept such appointment and to comply with applicable rules, procedures, and security obligations governing electronic filing and electronic signatures; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Agent will electronically file and electronically sign documents on behalf of Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the Parties agree as follows:

1. APPOINTMENT; SCOPE OF AUTHORITY

1.1 Appointment. Client hereby appoints Agent as Client's limited and non-exclusive agent to prepare, submit, and electronically file documents in the matters identified above and to take all actions reasonably necessary to effectuate such electronic filings (collectively, the "Authorized Activities"). Agent accepts such appointment and shall act in accordance with this Authorization and applicable electronic filing rules.

1.2 Scope. Authorized Activities include: (a) preparing and uploading filings; (b) executing electronic signatures on filings, verifications, and related documents where authorized by Client; (c) receiving notice of filings and electronic confirmations; and (d) making or arranging for payment of filing fees to the extent expressly authorized in writing. Any activity not expressly set forth in this Authorization requires prior written consent of Client.

2. ELECTRONIC SIGNATURE; CONSENT

2.1 Consent to Electronic Signature. Client expressly consents to Agent applying Client's electronic signature to filings, pleadings, affidavits, declarations, and other documents as reasonably required for electronic submission. Client agrees that the signature applied electronically by Agent shall be legally binding and constitute Client's signature for all purposes.

2.2 Authentication and Security. Agent shall use commercially reasonable authentication and security measures to protect electronic signatures and filing credentials. Agent shall not permit any person other than authorized Agent personnel to apply Client's delegated electronic signature.

3. REPRESENTATIONS AND WARRANTIES

3.1 Client Representations. Client represents and warrants that: (a) Client has full authority to enter into this Authorization and to grant the powers described herein; (b) all information provided to Agent for filing is complete and accurate to the best of Client's knowledge; and (c) Client will promptly advise Agent in writing of any change in authority or contact information.

3.2 Agent Representations. Agent represents and warrants that it is authorized, as required by applicable rules, to perform the Authorized Activities and will comply with applicable electronic filing rules, court rules, and ethical obligations when performing services under this Authorization.

4. FEES, COSTS AND PAYMENT AUTHORIZATION

Client acknowledges that filing fees, service fees, or third-party vendor fees may be incurred in connection with electronic filing. Client authorizes Agent to incur and to seek reimbursement for reasonable fees and costs associated with Authorized Activities only if Client has expressly authorized such charges in advance or as set forth in a separate fee agreement between the Parties.

Fee authorization (select if authorized): Client authorizes Agent to charge filing and related third-party fees to the payment method on file or to invoice Client for such fees.

5. CONFIDENTIALITY; DATA SECURITY

Agent shall maintain the confidentiality of Client materials and shall implement reasonable administrative, technical, and physical safeguards to protect confidential information and electronic filing credentials from unauthorized access, use, disclosure, alteration, or destruction. Agent shall notify Client promptly upon becoming aware of any unauthorized access or breach affecting Client data.

6. INDEMNIFICATION; LIMITATION OF LIABILITY

Client agrees to indemnify, defend, and hold harmless Agent and its officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from Client's breach of this Authorization or from the content of filings submitted by Client, except to the extent caused by Agent's gross negligence or willful misconduct.

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AUTHORIZATION, EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

7. TERM; TERMINATION

This Authorization shall commence on the Effective Date and shall remain in effect until terminated by either Party upon thirty (30) days' prior written notice to the other Party or upon completion of the matters identified in Section 1. Termination shall not relieve Client of obligations to pay fees incurred prior to termination or to indemnify Agent for acts arising during the term of this Authorization.

8. NOTICES

All notices required or permitted under this Authorization shall be in writing and delivered by hand, certified mail (return receipt requested), nationally recognized overnight courier, or by electronic mail with confirmation of receipt to the addresses set forth below or to such other address as either Party may designate by notice in accordance with this Section.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Authorization may be amended only by a written instrument executed by both Parties. No waiver of any provision shall be effective unless in writing and signed by the waiving Party. This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

Governing Law. This Authorization shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of laws principles.

Entire Agreement. This Authorization constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Severability. If any provision of this Authorization is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the Parties' intent.

11. ADDITIONAL PROVISIONS

11.1 Third-Party Vendors. Agent may engage third-party vendors to perform electronic filing services; Agent shall remain responsible for such vendors' compliance with this Authorization. Client expressly authorizes Agent to disclose necessary filing information to such vendors.

11.2 Survival. Provisions that by their nature should survive termination or expiration of this Authorization shall survive, including but not limited to indemnification, confidentiality, and fees.
