LEGAL E-SIGN AGREEMENT

This Legal E-Sign Agreement (the "Agreement") is entered into as of Effective Date: by and between Party A Name: with principal address at and Party B Name: with principal address at (each a "Party" and together the "Parties").

RECITALS

WHEREAS, the Parties anticipate entering into transactions, contracts and exchanges of documents that may be executed and delivered by electronic means; and

WHEREAS, each Party desires to establish its intent to conduct such transactions electronically and to provide binding consent to the use of electronic records and electronic signatures in lieu of handwritten signatures for those transactions; and

WHEREAS, the Parties wish to set forth the procedures, representations, and conditions under which electronic signatures and electronic records will be used and relied upon by the Parties.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Electronic Signature" means an electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted by a person with the intent to sign the record. Electronic Signature includes but is not limited to typed names, scanned signatures, platform-based signatures, and digitally encrypted signatures.

1.2 "Electronic Record" means any contract, agreement, notice, invoice, disclosure, or other information provided in electronic form that may be executed or delivered using an Electronic Signature.

2. CONSENT TO ELECTRONIC SIGNATURES AND RECORDS

2.1 Each Party expressly consents to the use of Electronic Signatures and Electronic Records in connection with any transaction, contractual document, amendment, or notice governed by or relating to this Agreement. Such consent constitutes a legally binding signature and will have the same force and effect as a handwritten signature for all purposes.

2.2 The Parties agree that the admissibility and enforceability of any Electronic Record or Electronic Signature shall be governed by applicable law, and neither Party will contest such admissibility solely on the basis that the record was in electronic form.

3. AUTHENTICATION, SECURITY, AND PROCEDURES

3.1 Each Party shall use reasonable authentication measures to verify the identity of signatories, which may include unique login credentials, multi-factor authentication, verification codes, or documented audit trails. The method of authentication selected by a Party shall be deemed commercially reasonable if it is commonly used in the industry and appropriate to the level of risk of the transaction.

3.2 Each Party is responsible for maintaining the confidentiality of its authentication credentials and shall notify the other Party promptly upon any actual or suspected unauthorized use or breach of such credentials.

4. ELECTRONIC DELIVERY; WITHDRAWAL OF CONSENT

4.1 Delivery of notices, agreements, disclosures, and other documents in electronic form shall be effective when sent to the electronic contact information provided by the receiving Party in this Agreement, unless the sending Party is notified that delivery was unsuccessful.

4.2 A Party may withdraw its consent to the use of Electronic Records and Electronic Signatures at any time by providing written notice to the other Party in accordance with the Notices provision below. Withdrawal of consent will not affect the legality, validity, or enforceability of actions already taken or executed electronically prior to withdrawal.

5. RETENTION AND COPIES

5.1 Each Party shall retain copies of Electronic Records for the period required by applicable law or for a commercially reasonable period. Electronically retained copies shall be deemed originals for all purposes if they can be retrieved and reproduced in perceivable form.

6. REPRESENTATIONS AND WARRANTIES

6.1 Each Party represents and warrants that (a) it has the legal capacity and authority to enter into and be bound by this Agreement, (b) the individual entering into Electronic Records on its behalf is duly authorized, and (c) execution and delivery of Electronic Records do not violate any applicable law, contract, or obligation.

8. AMENDMENT, WAIVER AND COUNTERPARTS

8.1 No amendment or waiver of any provision of this Agreement shall be effective unless in a written document signed by the Party against whom enforcement is sought. A waiver of any breach or right shall not constitute a waiver of any other or subsequent breach or right.

8.2 This Agreement may be executed in counterparts, each of which when executed and delivered shall be an original, and all of which together shall constitute one and the same instrument. Execution may be evidenced by electronic signature or by delivery of an executed copy by electronic transmission.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

9.1 This Agreement shall be governed by and construed in accordance with the laws specified by the Parties: Governing State or Jurisdiction: , without regard to conflict of laws principles that would apply the laws of another jurisdiction.

9.2 If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, the remaining provisions shall continue in full force and effect to the greatest extent permitted by law.

9.3 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and representations, whether written or oral.
