This Legal E-Signature Agreement (the "Agreement") is made as of Effective Date: by and between Client Name: with principal address at (\"Client\") and Provider Name: with principal address at (\"Provider\").

RECITALS

WHEREAS, the parties desire to conduct certain transactions and exchange documents electronically and wish to set forth their agreement with respect to the use, authentication, and legal effect of electronic signatures and records; and

WHEREAS, each party seeks to establish binding assent through electronic means and confirm that electronic records and signatures shall constitute valid, enforceable evidence of intent and agreement to the same extent as handwritten signatures on paper;

WHEREAS, the parties intend that this Agreement operate as a standalone consent to electronic transactions and may be relied upon by the parties and their respective agents, successors and assigns.

NOW, THEREFORE

In consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Electronic Signature" means any electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted by a party with the intent to sign the record, including but not limited to typed names, scanned images of handwritten signatures, click-to-sign, or cryptographic signatures.

1.2 "Electronic Record" means a record created, generated, sent, communicated, received, or stored by electronic means.

2. CONSENT TO ELECTRONIC TRANSACTIONS

2.1 Each party hereby expressly consents to the use of Electronic Signatures and Electronic Records in connection with any agreement, notice, invoice, acknowledgment, amendment or other document that may be executed or delivered between the parties. Such consent applies to all existing and future transactions between the parties unless revoked in writing pursuant to Section 6.

2.2 The parties agree that an Electronic Signature shall have the same legal force and effect as a manual signature and shall be admissible as evidence in any legal or administrative proceeding to the same extent as a manually signed document.

3. AUTHENTICATION AND SECURITY

3.1 Each party represents that it will employ reasonable authentication measures when affixing an Electronic Signature, which may include unique credentials, verification codes, secure email links, or third-party signature platforms, and will maintain records sufficient to demonstrate the origin and integrity of electronic records.

4. DELIVERY AND RECORD RETENTION

4.1 Delivery of an Electronic Record shall be effective when sent to the electronic address or delivery mechanism designated by the receiving party and shall be deemed received when a confirmation of delivery is created by the sender's system or when the record is accessible by the recipient.

4.2 Each party shall retain electronically executed records in a manner that preserves the integrity, legibility, and accessibility of the records for a minimum period of from the date of execution, unless a longer period is required by applicable law.

5. REPRESENTATIONS AND WARRANTIES

5.1 Each party represents and warrants that: (a) it has full authority to enter into this Agreement; (b) any Electronic Signature it applies will be made by an authorized representative; and (c) it will not deny the validity or enforceability of any Electronic Signature solely because it is in electronic form.

5.2 Each party further warrants that it will not knowingly permit another person to use its authentication credentials and will notify the other party promptly upon becoming aware of any unauthorized use.

6. REVOCATION; SCOPE OF CONSENT

6.1 A party may revoke its consent to conduct transactions electronically by delivering written notice to the other party at the address set forth in the Notices section. Revocation will be effective only after the non-revoking party has had a reasonable period to take actions in response and will not invalidate actions taken in reliance on prior consent.

6.2 Unless otherwise agreed in writing, consent applies to any and all agreements and documents between the parties whether now existing or hereafter arising.

8. ADMISSIBILITY AND PRESUMPTION

8.1 The parties agree that electronic records maintained in the usual course of business and electronic signatures applied in accordance with this Agreement shall be admissible in any proceeding as prima facie evidence of the matters they purport to document. The parties waive any objection to admissibility based solely on the electronic form of such records or signatures.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to rules concerning conflicts of laws.

10. ENTIRE AGREEMENT; SEVERABILITY

10.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to electronic signatures and electronic records.

10.2 If any provision of this Agreement is held invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

11. AMENDMENT; WAIVER; COUNTERPARTS

11.1 No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

11.2 The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

11.3 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronically transmitted, scanned, or facsimile signatures shall be treated as originals for all purposes.

12. MISCELLANEOUS

12.1 Remedies: The parties agree that any breach of this Agreement causing unauthorized access to or misuse of signatures or records may give rise to equitable relief in addition to any other remedies available at law or in equity.

12.2 Interpretation: Titles and headings are for convenience only and shall not affect the interpretation of this Agreement. The words "including" and "include" shall be deemed to mean "including, without limitation."
