LEGAL ELECTRONIC SIGNATURE FORM

This Legal Electronic Signature Form (the "Agreement") is entered into as of Day: Month: Year: by and between Client Name: , a(n) Individual Corporation LLC and Provider Name: , a(n) Individual Corporation LLC (each a "Party" and together the "Parties").

RECITALS

WHEREAS, the Parties anticipate the execution, electronic transmission and storage of certain contracts, acknowledgements, consents, orders, invoices and related documents (collectively, the "Transactions"); and

WHEREAS, each Party desires to permit the other Party and authorized representatives to use electronic records and electronic signatures in connection with the Transactions and to set forth the terms under which such electronic signatures and electronic records shall be deemed valid and enforceable.

WHEREAS, the Parties intend that an electronic signature applied in accordance with this Agreement shall have the same legal effect and enforceability as a handwritten signature on a paper document to the fullest extent permitted by applicable law.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Electronic Signature" means any electronic symbol, sound or process attached to or logically associated with a record and executed or adopted by a Party with the intent to sign the record. "Electronic Record" means information that is created, generated, sent, communicated, received or stored by electronic means.

1.2 "Authorized Representative" means an individual expressly authorized by a Party to execute or accept Electronic Records or Electronic Signatures on its behalf, as set forth in a written delegation or authorization delivered to the other Party.

2. CONSENT TO ELECTRONIC RECORDS AND SIGNATURES

2.1 Each Party hereby knowingly and voluntarily agrees and consents to the use of Electronic Signatures and Electronic Records in connection with the Transactions. Each Party intends that its Electronic Signature be legally binding and enforceable under applicable federal and state electronic signature laws, including but not limited to ESIGN and UETA where applicable.

2.2 Each Party acknowledges that it may receive documents electronically and waives any right under applicable law to require delivery of paper originals for the Transactions, except to the extent expressly required by mandatory law.

3. SCOPE OF AUTHORIZATION

3.1 The Parties authorize the use of Electronic Signatures and Electronic Records for all present and future Transactions between them, including agreements, acknowledgements, notices, purchase orders, invoices, amendments and related documents, unless a Party provides written notice of specific excluded documents pursuant to Section 7.

4. METHODS OF AUTHENTICATION

4.1 Acceptable methods of authentication include, without limitation, (a) secure electronic signature platforms that provide an audit trail; (b) image or facsimile of a handwritten signature attached to an electronic document; (c) typed name with associated authentication; and (d) digital signatures using public key infrastructure where available. The Parties agree that a record of the authentication event, including IP address, timestamp, verification code or comparable audit data, shall constitute prima facie evidence of the authenticity of an Electronic Signature.

5. HARDWARE, SOFTWARE AND CONSENT ACKNOWLEDGMENTS

5.1 Each Party represents that it has the necessary hardware, internet access and software to receive, review and retain Electronic Records and to create Electronic Signatures. Each Party further represents that it will maintain reasonable procedures to protect the confidentiality and integrity of its Electronic Signatures and authentication credentials.

6. DELIVERY, RETENTION AND ACCESS

6.1 Delivery of an Electronic Record shall be effective upon transmission to the recipient's designated electronic contact identified in this Agreement or upon posting to a mutually agreed electronic repository. Each Party shall retain an accessible copy of Electronic Records in a manner that accurately preserves the record and is capable of being reproduced as an accurate copy for later reference.

7. REVOCATION OF CONSENT

7.1 A Party may withdraw its consent to the use of Electronic Signatures and Electronic Records by delivering written notice to the other Party at the notice address specified in Section 8. Withdrawal of consent shall not affect the validity or enforceability of Electronic Signatures executed prior to receipt of such notice.

8. NOTICES

8.1 All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Party designates by written notice. Notices delivered by electronic transmission to the designated electronic contact shall be effective when transmitted.

9. AMENDMENTS; WAIVER; COUNTERPARTS

9.1 No amendment of this Agreement shall be effective unless in writing and executed by both Parties. No waiver of any provision shall be effective unless in writing and signed by the waiving Party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.

10. INDEMNIFICATION; LIMITATION OF LIABILITY

10.1 Each Party shall indemnify and hold harmless the other Party from and against claims arising out of the indemnifying Party's negligent or willful failure to secure its electronic credentials or to comply with its obligations under this Agreement. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES IN CONNECTION WITH THIS AGREEMENT.

11. SEVERABILITY; GOVERNING LAW; ENTIRE AGREEMENT

11.1 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. 11.2 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Parties below, without regard to conflict of laws principles. 11.3 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether electronic, oral or written.

12. CERTIFICATION AND REPRESENTATIONS

12.1 Each Party represents and warrants that: (a) it has full legal authority to enter into this Agreement and to grant the consents and authorizations herein; (b) the individual executing this Agreement on behalf of such Party is duly authorized to do so; and (c) it will comply with all applicable laws in connection with its use of Electronic Records and Electronic Signatures.

12.2 By executing below, each Party acknowledges receipt of a copy of this Agreement and affirms that it has had the opportunity to review and consent to the use of Electronic Signatures and Electronic Records in connection with the Transactions.
