LEGAL EMAIL CONSENT FORM

RECITALS

In consideration of the mutual covenants set forth below, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. CONSENT; SCOPE

1.1 Consent. Recipient hereby expressly consents to Company sending electronic mail to the Recipient at the email address specified in this Agreement for the categories of communications selected by Recipient below. This consent constitutes the Recipient's authorization to receive electronic communications in lieu of paper communications to the extent permitted by applicable law.

1.2 Authorized Purposes. Recipient authorizes receipt of emails for the following purposes (select all that apply):

2. FORM OF CONSENT AND AUTHENTICATION

2.1 Electronic Acknowledgment. Acceptance by any such method constitutes a binding agreement.

2.2 Authentication. Recipient acknowledges that email authentication may not guarantee absolute identity verification and agrees that Company shall not be liable for messages delivered in error where Company has used reasonable authentication processes.

3. WITHDRAWAL OF CONSENT

Recipient may withdraw consent at any time by providing written notice to Company at the contact information set forth below or by using any opt-out mechanism included within an email, if applicable. Withdrawal shall be effective upon Company's receipt of such notice and a reasonable period for processing; Company will make commercially reasonable efforts to stop sending non-essential communications promptly.

3.2 Mandatory Notices. Notwithstanding revocation, Recipient acknowledges that Company may continue to send emails that are legally required (including safety, recall, billing, or regulatory notices) and that such communications may be delivered electronically where permitted by law.

4. REPRESENTATIONS; WARRANTIES

4.1 Recipient represents and warrants that Recipient is the authorized account holder of the email address provided, that the email address is accurate and capable of receiving communications, and that Recipient will promptly notify Company of any change to the email address.

4.2 Company represents that it will use reasonable procedures to avoid unauthorized disclosure of Recipient's information and will comply with applicable privacy and data protection requirements in sending electronic communications.

5. SECURITY; LIMITATION OF LIABILITY

5.1 Security. Company will implement commercially reasonable technical and organizational measures designed to protect the confidentiality and integrity of electronic communications. Recipient acknowledges that transmission of data by email inherently involves risks and agrees that Company shall not be liable for interception, loss, or unauthorized access where Company has complied with reasonable security measures.

5.2 Limitation of Liability. Except for willful misconduct or gross negligence, neither Party shall be liable to the other for incidental, consequential, special, or punitive damages arising out of or relating to this Agreement, whether in contract, tort, or otherwise.

6. RECORD RETENTION

Company will maintain records of electronic communications and consents in accordance with its document retention policy and applicable law. Electronic records maintained by Company, including logs and copies of emails, shall be admissible as evidence of delivery and content to the same extent as paper records.

8.1 Amendments. Any amendment to this Agreement must be in writing and signed by authorized representatives of both Parties. Electronic signatures shall be sufficient to effect an amendment.

8.2 Waiver. The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. A waiver is valid only if in writing and signed by the waiving Party.

8.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic transmission of a signed counterpart shall be deemed delivery of an original.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

9.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State specified by Company in its governing provisions, without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the courts located therein for resolution of disputes arising under this Agreement.

9.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written, relating to that subject matter.

9.3 Severability. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed to carry out the Parties' intentions to the fullest extent permitted by law.
