RECITALS

WHEREAS, Service Provider operates an electronic email and document delivery platform for the transmission and receipt of legal communications and related documents; and

WHEREAS, Client desires to receive legal notices, agreements, invoices, pleadings, and other communications by electronic mail and to authorize certain individuals to receive and act upon such communications on Client's behalf; and

WHEREAS, the parties wish to set forth the terms, scope, and limitations of Client's consent to electronic delivery, retention, security, and service through email.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. DEFINITIONS

For purposes of this Consent, the following terms shall have the following meanings: "Electronic Delivery" means transmission of communications and documents by email; "Authorized Recipient(s)" means the individual(s) identified by Client in Section 3 and any additional persons Client designates in writing; "Retention Period" means the period during which Service Provider will maintain archived copies as described in Section 7.

2. SCOPE OF CONSENT

Client expressly consents to the electronic delivery of legal communications and documents, including but not limited to contracts, notices, invoices, pleadings, settlement communications, and billing statements, to the email address(es) provided by Client below. This consent applies to all existing and future matters for which Service Provider provides communications unless and until revoked pursuant to Section 8.

By executing this Consent, Client acknowledges that: (a) electronic delivery may involve risks including interception, misdelivery, and technical failures; (b) certain jurisdictions or courts may not accept electronic service for particular documents; and (c) Service Provider's obligation is limited to transmission and archival as expressly set forth in this Consent.

Client hereby consents to receive electronic service of documents and communications at the email address(es) provided and agrees that such delivery shall be deemed effective upon transmission by Service Provider unless an error notification is received by Service Provider, in which case Service Provider will notify Client and attempt alternate delivery methods.

6. RETENTION, RECORDS, AND AUDIT LOGS

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

Client agrees to indemnify and hold harmless Service Provider and its officers, agents, and employees from any claims, demands, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of Client's failure to secure its systems, failure to provide accurate email addresses, improper use of the service, or Client's revocation of consent after transmission. Service Provider's liability for any claim related to electronic delivery shall be limited to direct damages proven and shall not exceed the amount of fees paid by Client for the service in the six (6) months preceding the claim. In no event shall Service Provider be liable for consequential, incidental, punitive, or special damages.

9. NOTICES

All notices required or permitted under this Consent shall be in writing and delivered by email to the addresses provided by the parties or to the physical address set forth below. Notices shall be effective upon receipt by the recipient.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Consent may be amended only by a written instrument signed by both parties. No waiver of any breach shall constitute a waiver of any other or subsequent breach. This Consent may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Consent shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to choice-of-law rules. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes.
