Employer further represents that, to the best of its knowledge, the information provided in this Declaration is true, complete and correct as of the date of execution and is supported by its Records.

7. INDEMNIFICATION

Employer agrees to indemnify, defend and hold harmless Requesting Party and its officers, directors and employees from and against any and all liabilities, claims, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any material misrepresentation or omission contained in this Declaration or any attached Records.

8. NOTICES

All notices required or permitted under this Declaration shall be in writing and delivered to the addresses set forth below (or to such other address as a party may specify in writing).

9. GOVERNING LAW; VENUE

This Declaration shall be governed by and construed in accordance with the laws of without regard to principles of conflicts of law. Venue for any dispute arising out of this Declaration shall lie in the courts of .

10. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS
