4. COVENANTS

4.1 Performance. Each party covenants to perform all obligations under the Agreement and the endorsement during the period of extension in good faith and in accordance with the terms and conditions of the Agreement, except as expressly modified herein.

4.2 No Additional Amendments. Neither party shall amend, supplement or otherwise modify the Agreement or the endorsement during the extended term except by a written instrument executed by authorized representatives of both parties.

5. EFFECT ON ORIGINAL AGREEMENT

5.1 Incorporation. The Agreement, as amended by this Extension, constitutes the entire agreement between the parties with respect to the endorsement and supersedes all prior oral or written negotiations, understandings and agreements between the parties relating thereto.

6. NOTICES
