LEGAL ENGAGEMENT AGREEMENT

This Engagement Agreement (the "Agreement") is made effective as of (the "Effective Date"), by and between Client Name: with address: ("Client"), and Firm Name: with address: ("Firm").

RECITALS

WHEREAS, Client desires to retain Firm to provide legal services in connection with the matter described below; and

WHEREAS, Firm is willing to provide legal services to Client under the terms and conditions set forth in this Agreement and subject to applicable professional rules of conduct; and

WHEREAS, the parties intend by this Agreement to set forth the scope, fees, responsibilities, and other terms governing Firm's representation of Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT

Firm is retained to provide legal services to Client concerning:

The engagement does not include representation in matters not expressly identified above, unless the parties agree in writing. Firm will exercise professional judgment and provide services in accordance with applicable rules of professional conduct.

2. FEES AND BILLING

Client agrees to pay Firm on an hourly basis at the following rates (or as mutually revised in writing):

Firm will render itemized invoices on a basis. Payment is due within days of invoice. Client shall be responsible for reasonable costs and expenses incurred by Firm on Client's behalf, including filing fees, courier, messenger, investigator and expert fees, travel, lodging and other similar expenses.

3. RETAINER; TRUST ACCOUNT

Upon execution of this Agreement, Client shall provide an initial retainer in the amount of which will be deposited into Firm's client trust account. Firm will apply trust funds to billed fees and expenses and provide accounting of disbursements. Any unused retainer balance will be returned to Client at the conclusion of the engagement, subject to deduction for outstanding fees and expenses.

4. CLIENT COOPERATION; DECISION MAKING

Client shall provide timely, accurate information and cooperate with Firm. Client retains ultimate authority to make decisions concerning the objectives and major decisions affecting the matter. Firm is authorized to take such actions on Client's behalf as are reasonably necessary to carry out the representation consistent with Client's instructions.

5. CONFIDENTIALITY; CONFLICTS

Firm will maintain the confidentiality of information obtained in the course of representation, subject to exceptions required by law or professional obligations. Client represents that Client has disclosed all facts and parties known to Client that might reasonably give rise to a conflict of interest. If any conflict arises, Firm will notify Client and may withdraw as required by applicable professional rules.

6. RECORDS AND FILES

Client may request Firm's file relating to the representation. Firm may charge reasonable copying and delivery fees for production of client file materials. Original documents belonging to Client will be returned upon request, subject to payment of outstanding balances. Firm may retain copies of Client files for its records in accordance with Firm policy.

7. LIMITATION OF LIABILITY; INDEMNIFICATION

Subject to applicable law and professional obligations, Firm's liability to Client for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total fees paid to Firm under this Agreement for the services giving rise to the claim. Neither party shall be liable for consequential, incidental, punitive or special damages. Client agrees to indemnify and hold Firm harmless from third-party claims arising from Client's instructions, misrepresentations, or breach of this Agreement, except to the extent caused by Firm's gross negligence or willful misconduct.

8. TERMINATION

Either party may terminate this Agreement upon written notice. Upon termination, Client shall remain responsible for payment of fees and expenses incurred through the date of termination. Firm may retain Client files and unearned fees as permitted by law until outstanding balances are satisfied.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate in writing).

10. DISPUTE RESOLUTION

The parties agree to attempt in good faith to resolve disputes arising under this Agreement by negotiation. For fee disputes only, Client may elect binding arbitration in lieu of court proceedings by indicating consent below.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties:

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

No amendment to this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to insist upon strict performance of any provision shall not be deemed a waiver of any subsequent default. This Agreement may be executed in counterparts, each of which shall be deemed an original, and the counterparts together shall constitute one and the same instrument. Electronic signatures or transmitted signed copies shall have the same effect as original signatures.

13. CLIENT ACKNOWLEDGMENTS

Client acknowledges receipt of a copy of this Agreement, has had the opportunity to ask questions and obtain independent advice as desired, and understands the terms herein, including the fee arrangements and limitations of liability.
