LEGAL ENGAGEMENT LETTER

This Engagement Letter (the "Agreement") is entered into as of by and between Attorney Firm Name: with principal place of business at , and Client Name: of address .

RECITALS

WHEREAS, Client desires to retain Attorney Firm to provide legal services described in this Agreement; and

WHEREAS, Attorney Firm is duly authorized and qualified to provide such legal services and represents that it will comply with applicable professional and ethical obligations in carrying out the engagement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Attorney Firm will provide legal services to Client.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. ENGAGEMENT AND SCOPE

1.1 Engagement. Client retains Attorney Firm to provide legal services in connection with the matter described below, and Attorney Firm accepts such engagement on the terms set forth in this Agreement. The engagement does not include representation in unrelated matters or appeals unless specifically agreed in writing.

1.2 Limited Authority. Attorney Firm will act only with Client's express consent for material decisions. Attorney Firm is authorized to take routine actions reasonably necessary to carry out the engagement, including correspondence, filings and negotiations, subject to Client direction.

2. FEES AND BILLING

2.1 Hourly Rates. Client will pay Attorney Firm for legal services rendered at the following standard hourly rates (subject to periodic adjustment upon notice):

2.2 Retainer and Billing. Client shall pay an initial retainer in the amount set forth below, which Attorney Firm will hold in a client trust account and apply against invoices in accordance with applicable rules.

2.3 Invoices. Attorney Firm will render periodic invoices describing services performed, timekeepers, hours, and expenses. Invoices are due within thirty (30) days of receipt. Overdue amounts bear interest at the rate agreed in this paragraph or, absent agreement, the highest rate permitted by law.

3. EXPENSES

Client shall reimburse Attorney Firm for reasonable and necessary out-of-pocket expenses incurred on Client's behalf, including but not limited to filing fees, court costs, deposition and transcript costs, courier and travel expenses, and expert fees. Attorney Firm may require periodic replenishment of the retainer for anticipated expenses.

4. CLIENT COOPERATION

Client agrees to provide timely and complete information, to be available for consultation, and to cooperate fully with Attorney Firm. Client is responsible for providing truthful and accurate facts and documentation necessary for representation.

5. CONFLICTS OF INTEREST

Attorney Firm has conducted a reasonable conflicts check and does not presently believe there is a conflict that would impair its ability to represent Client. If a conflict arises during the engagement, Attorney Firm will notify Client and take steps required by applicable professional rules.

6. CONFIDENTIALITY

Attorney Firm will maintain the confidentiality of information protected by attorney-client privilege and will not disclose such information except as authorized by Client or as required by law. Client understands that certain disclosures may be required by ethics rules or legal process.

7. TERMINATION

Either party may terminate this Agreement upon written notice. Termination does not relieve Client's obligation to pay for services rendered and expenses incurred prior to termination. Upon termination, Attorney Firm will take reasonable steps to protect Client interests, including providing a reasonable opportunity to secure successor counsel.

8. LIMITATION OF LIABILITY

Except as prohibited by applicable law, Attorney Firm's liability for any claim arising out of this engagement shall be limited to direct damages not to exceed the fees paid by Client to Attorney Firm under this Agreement for the specific matter that gave rise to the claim. Neither party shall be liable to the other for consequential, incidental, punitive or exemplary damages.

9. FILES AND RECORDS

Attorney Firm will maintain Client files in accordance with firm practice and applicable rules. Client may request delivery of original documents. Attorney Firm may destroy inactive matter files after a reasonable retention period unless Client requests delivery or retention in writing.

10. DISPUTE RESOLUTION

The parties agree to use good faith efforts to resolve disputes arising under this Agreement through negotiation. Any unresolved dispute may be submitted to binding arbitration or to the courts, as set forth below under Governing Law and Dispute Resolution preferences elected by the parties.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, overnight courier, or certified mail (return receipt requested).

12. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles.

14. ENTIRE AGREEMENT

This Agreement, together with any engagement letters or written schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one agreement. Signatures delivered electronically or by facsimile shall be effective as originals.

By signing below, the parties acknowledge that they have read, understand, and agree to be bound by the terms and conditions of this Agreement and that they have authority to execute this Agreement on behalf of the party they represent.
