LEGAL ENGAGEMENT LETTER ADDENDUM

This Legal Engagement Letter Addendum (the Addendum) is entered into as of by and between Client Name: (Client) and Firm Name: (Firm). This Addendum amends the Engagement Letter dated (Engagement Letter) between the parties.

RECITALS

WHEREAS, the Firm and Client entered into the Engagement Letter to memorialize the scope of services, billing arrangements, and other terms governing the provision of legal services; and

WHEREAS, the parties desire to modify certain terms of the Engagement Letter as set forth in this Addendum in order to reflect changes in the scope of representation, fee arrangements, and related administrative provisions; and

WHEREAS, except as expressly modified by this Addendum, the Engagement Letter remains in full force and effect.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. PURPOSE

The purpose of this Addendum is to modify and supplement specific provisions of the Engagement Letter as set forth in Section 2 below. All terms not expressly modified by this Addendum remain binding pursuant to the Engagement Letter.

2. AMENDMENTS TO ENGAGEMENT LETTER

The following provisions of the Engagement Letter are hereby amended, superseded, or supplemented as set forth below. If a conflict exists between the Engagement Letter and this Addendum, the terms of this Addendum shall control.

2.1 Scope of Representation. The scope of representation described in the Engagement Letter is amended to include the following additional matters:

4. CONFIDENTIALITY

Except as otherwise expressly provided in this Addendum, the confidentiality and privilege provisions of the Engagement Letter remain in full force and effect. The Firm shall continue to maintain the confidentiality of Client information subject to applicable law and professional obligations.

5. CONFLICTS AND PROFESSIONAL RESPONSIBILITY

The Firm represents that it has conducted conflicts checks and confirms that it may undertake the additional work specified by this Addendum consistent with its professional obligations. If a conflict is identified after execution, the Firm will promptly notify Client and cooperate to address any ethical or practical issues that arise.

6. TERMINATION

Except as modified herein, the termination provisions of the Engagement Letter apply. Either party may terminate the amended engagement upon written notice. Upon termination, Client shall remain responsible for payment of fees and costs incurred through the effective date of termination.

7. RECORDS AND WORK PRODUCT

All work product prepared by the Firm in connection with the representation, whether modified by this Addendum or not, shall be the property of the Firm unless otherwise agreed in writing, subject to Client's right to obtain copies upon payment of outstanding invoices and costs.

8. DISPUTE RESOLUTION

Any dispute arising out of or relating to this Addendum shall be resolved in accordance with the dispute resolution procedures set forth in the Engagement Letter. If the Engagement Letter does not contain such procedures, disputes shall be resolved by binding arbitration in the jurisdiction specified in Section 13 below, or by litigation if otherwise required by applicable law.

All notices required or permitted under this Addendum shall be in writing and delivered to the addresses below:

This Addendum may be amended or supplemented only by a written instrument signed by both parties. No oral modification shall be effective.

11. WAIVER

No failure or delay by either party in exercising any right shall operate as a waiver of that right, nor shall any single or partial exercise of any right preclude other or further exercise of that or any other right.

12. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

13. ENTIRE AGREEMENT

This Addendum, together with the Engagement Letter, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, agreements, or representations, whether written or oral, relating thereto.

14. SEVERABILITY

If any provision of this Addendum is held to be illegal, invalid or unenforceable under present or future laws, such provision shall be fully severable and the remainder of this Addendum shall remain in full force and effect.

15. COUNTERPARTS; ELECTRONIC SIGNATURES

This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile, photographic, or electronic signatures shall be deemed originals for all purposes.
