RECITALS

1. GRANT OF LIMITED ENTRY

1.1 Grant. Subject to the terms and conditions of this Agreement, Owner grants Applicant a limited, non-exclusive, revocable license to enter the Property solely for the Purpose and during the Permit Term defined in Section 3. This license does not create a lease, easement, or any interest in real property.

2. SCOPE OF ENTRY AND ACTIVITIES

2.1 Authorized Activities. Applicant may engage only in the activities specifically described below while on the Property. Applicant must not exceed the following scope:

5. INSURANCE AND INDEMNITY

5.1 Insurance. Prior to entry, Applicant shall, at its expense, maintain insurance coverage reasonably satisfactory to Owner, including commercial general liability with limits not less than per occurrence, naming Owner as an additional insured where required by Owner.

5.2 Indemnity. Applicant shall indemnify, defend and hold harmless Owner, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Applicant's entry or the performance of authorized activities, except to the extent caused by the sole negligence or willful misconduct of Owner.

6. CONFIDENTIALITY

6.1 Confidential Information. Applicant may obtain access to Owner's confidential information in connection with the authorized activities. Applicant shall use such information only for the Purpose and shall not disclose it to third parties without Owner's prior written consent, except as required by law.

7. REVOCATION; TERMINATION

7.1 Termination for Convenience. Owner may revoke the license and terminate this Agreement immediately upon written notice to Applicant if Applicant fails to comply with any material term, condition or safety requirement.

7.2 Effect of Termination. Upon termination, Applicant shall promptly vacate the Property and restore any disturbed areas in accordance with Owner's reasonable directions. Applicant's obligations under Sections 5 (Insurance and Indemnity), 6 (Confidentiality), 9 (Governing Law), and any accrued rights or liabilities shall survive termination.

8. REPRESENTATIONS AND WARRANTIES

Applicant represents and warrants that: (a) it has full corporate or organizational power and authority to enter into this Agreement; (b) all information provided to Owner is true and correct; and (c) Applicant will perform the authorized activities in a workmanlike manner and in compliance with all applicable laws.

9. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the parties at the following addresses by hand, certified mail, or recognized courier:

10. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any other breach. This Agreement may be executed in counterparts, each of which shall be deemed an original.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Property is located, without regard to conflict of laws principles.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
