LEGAL EQUIPMENT WAIVER

This Legal Equipment Waiver (the "Waiver") is made effective as of by and between Provider Name: with Address: ("Provider"), and Recipient Name: with Address: ("Recipient").

RECITALS

WHEREAS, Provider is the owner of certain equipment identified and described in Schedule A attached hereto and incorporated herein (the "Equipment");

WHEREAS, Recipient desires to take possession of the Equipment for the purpose of for the period commencing on and ending on , unless earlier terminated in accordance with this Waiver; and

WHEREAS, Provider is willing to permit Recipient to use the Equipment provided Recipient executes this Waiver and complies with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. EQUIPMENT

The Equipment subject to this Waiver is described in Schedule A: The description in Schedule A is determinative of the Equipment covered by this Waiver.

2. CONDITION; INSPECTION; ACCEPTANCE

Recipient acknowledges that Recipient has inspected the Equipment and accepts the Equipment in its current condition. Recipient represents that it has had the opportunity to inspect the Equipment, and Recipient knowingly accepts all defects, whether latent or patent. Recipient confirms inspection by checking below and initialing where required.

3. ASSUMPTION OF RISK; WAIVER OF LIABILITY

Recipient assumes all risks associated with the possession, operation, transportation and use of the Equipment, including, without limitation, risk of property damage, personal injury and death. Recipient hereby releases, waives and discharges Provider and its officers, employees, agents and contractors from any and all claims, demands, liabilities, actions or causes of action arising out of or relating to the possession, use, condition or operation of the Equipment, whether caused by the negligence of Provider or otherwise, to the fullest extent permitted by law.

4. INDEMNIFICATION

Recipient shall indemnify, defend and hold harmless Provider and its affiliates, officers, directors, employees and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees and costs) arising out of or resulting from Recipient's possession, use, maintenance, transport or operation of the Equipment, including claims for personal injury or property damage, except to the extent such claims result solely from Provider's gross negligence or willful misconduct.

5. USE, MAINTENANCE AND RETURN

Recipient shall use the Equipment only for the purpose stated herein and in accordance with all applicable laws, ordinances and manufacturer instructions. Recipient shall maintain the Equipment in good working order and condition (ordinary wear and tear excepted) and shall be responsible for all routine maintenance and care during the possession period. Upon expiration or earlier termination of this Waiver, Recipient shall return the Equipment to Provider at Recipient's expense in the same condition as received, reasonable wear and tear excepted.

6. INSURANCE

Recipient shall, at its sole cost and expense, procure and maintain during the term commercial general liability and property insurance covering the use, operation and liability arising out of the Equipment, including broad form property endorsement covering physical loss or damage to the Equipment. Recipient shall name Provider as an additional insured or loss payee as applicable and shall provide proof of insurance upon request.

7. DAMAGE, LOSS AND REPAIR

Recipient shall be responsible for all costs to repair, replace or restore the Equipment resulting from loss, theft, damage or destruction while in Recipient's possession, except to the extent caused by Provider's gross negligence or willful misconduct. Recipient shall promptly notify Provider of any damage, loss or theft and shall cooperate in any claim or recovery efforts.

8. TERM; TERMINATION

This Waiver shall commence on the Effective Date and continue until the return of the Equipment and fulfillment of all obligations, unless earlier terminated by Provider on notice to Recipient for breach, misuse of the Equipment, failure to maintain insurance or other material default. Termination for cause shall not relieve Recipient of liability for obligations accrued prior to termination.

This Waiver shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

11. ENTIRE AGREEMENT

This Waiver, together with Schedule A, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

If any provision of this Waiver is held to be invalid, illegal or unenforceable for any reason, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace any invalid provision with a valid provision that achieves, to the extent possible, the original economic, legal and commercial objective of the invalid provision.

13. AMENDMENT; WAIVER; COUNTERPARTS

Any amendment or modification of this Waiver must be in writing and signed by both parties. No waiver of any breach shall be effective unless in writing. This Waiver may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

14. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Waiver and to perform its obligations hereunder. Recipient represents that it will use the Equipment in a competent manner and in compliance with all applicable laws, rules and regulations.
