LEGAL ERRATA AND SIGNATURE FORM

This Legal Errata and Signature Form is entered into as of by and between ("Party A") and ("Party B") (each a "Party" and together the "Parties").

RECITALS

WHEREAS, the Parties entered into an agreement titled dated (the "Original Agreement");

WHEREAS, the Parties have identified clerical, typographical, or transcription errors and certain other discrepancies in the Original Agreement that require correction to reflect the Parties' true intent;

WHEREAS, the Parties desire to document such corrections and the effective incorporation of those corrections into the Original Agreement without altering the substantive obligations of the Parties except as expressly set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. ERRATA IDENTIFICATION AND SCOPE

1.1 Identification. The Parties hereby identify the errors and corrections to the Original Agreement as set forth in the Errata Table below. Each entry in the Errata Table describes the location of the error, the erroneous text, and the corrected text that shall be deemed effective as of the Effective Date herein.

1.2 Incorporation. Each correction set forth in the Errata Table shall be incorporated into the Original Agreement and shall supersede the corresponding erroneous provision. Except as expressly modified by this Form, the Original Agreement shall remain in full force and effect.

2. CORRECTIONS; EFFECT OF ERRATA

2.1 Corrective Text. For each listed erratum, the corrected text shall be deemed the operative language of the Original Agreement. Where a correction is to remove or replace text, the corrected text shall be inserted exactly as set forth in the Errata Table.

2.2 No Substantive Change Unless Stated. Except as expressly stated herein, the Parties represent and agree that the corrections set forth in this Form are not intended to, and do not, create new obligations or materially alter the substantive rights of either Party unless explicitly identified as a substantive amendment in writing and executed by the Parties.

3. REPRESENTATIONS AND WARRANTIES

3.1 Authority. Each Party represents and warrants that it has full power and authority to execute and deliver this Form and to perform its obligations hereunder, and that the person executing this Form on behalf of such Party is duly authorized to do so.

3.2 Accuracy of Corrections. Each Party represents that, to the best of its knowledge, the corrections reflected in the Errata Table are accurate and are intended to reflect the Parties' mutual agreement as to the Original Agreement.

4. AMENDMENT; NO OTHER MODIFICATION

4.1 Amendment. This Form amends the Original Agreement solely to the extent necessary to effect the corrections expressly set forth in the Errata Table. Except as expressly amended by this Form, the Original Agreement remains unmodified and in full force and effect.

4.2 Integration. To the extent of any conflict between the Original Agreement and this Form, the terms of this Form shall control with respect to the subject matter of the corrections.

5. NOTICES

Formal notices, requests, consents and other communications required or permitted under this Form shall be delivered to the addresses set forth below (or to such other address as a Party may designate in writing pursuant to this Section).

6. WAIVER; COUNTERPARTS

6.1 Waiver. No waiver by any Party of any breach or default shall be deemed a waiver of any other breach or default. No waiver shall be effective unless it is in a written instrument signed by the Party granting the waiver.

6.2 Counterparts and Electronic Signatures. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be binding and have the same legal effect as original signatures.

7. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

7.1 Governing Law. This Form shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

7.2 Severability. If any provision of this Form is held to be invalid or unenforceable, the remainder of this Form shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid provision that most closely matches the Parties' original intent.

7.3 Entire Agreement. This Form, together with the Original Agreement as amended hereby, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior oral or written statements or agreements regarding the same subject matter to the extent they relate to the corrections addressed in this Form.

Each Party represents and warrants that the person signing below is authorized to enter into this Form on behalf of that Party and that when signed, this Form will constitute a valid and binding obligation enforceable in accordance with its terms.
