RECITALS

1. ERRATA ITEMS

1.1 The following corrections to the Underlying Agreement are effective as of the Effective Date above. Each listed correction reflects the original text as it appears, and the revised text that shall replace it. Unless otherwise specified, headings and numbering in the Underlying Agreement shall be deemed adjusted to reflect these corrections.

1.2 If additional errata items are required, the parties shall execute an additional amendment in writing. No verbal statements shall modify the Underlying Agreement or this Errata.

2. INCORPORATION; EFFECT ON AGREEMENT

2.1 The corrections set forth in Section 1 shall be deemed incorporated into the Underlying Agreement as if the corrected language had been originally included. Except as expressly modified herein, all terms and conditions of the Underlying Agreement remain in full force and effect.

2.2 The parties acknowledge and agree that this Errata does not constitute an amendment to any material economic term of the Underlying Agreement unless such change is specifically described in a corrected text field above and signed by both parties.

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that (a) it has full power and authority to enter into this Errata and to perform its obligations hereunder, (b) the execution, delivery and performance of this Errata has been duly authorized by all necessary corporate or other action, and (c) this Errata constitutes a valid and binding obligation enforceable in accordance with its terms.

4. NOTICES

4.1 All notices, requests, consents, claims, demands and other communications hereunder shall be in writing and delivered to the addresses below or to such other address as a party may designate by notice in accordance with this Section.

5. AMENDMENT; WAIVER; COUNTERPARTS

5.1 Amendment. This Errata may be amended, modified or supplemented only by a written instrument signed by both parties.

5.2 Waiver. No failure or delay by any party in exercising any right under this Errata shall operate as a waiver of such right, nor shall any single or partial exercise of any right preclude any other or further exercise of such right.

5.3 Counterparts. This Errata may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic facsimile or image (.pdf or .jpg) shall be considered original signatures for all purposes.

6. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

6.1 Governing Law. This Errata shall be governed by and construed in accordance with the laws of State of Governing Law: , without regard to its conflict of laws principles.

6.2 Entire Agreement. Except as expressly provided herein, this Errata and the Underlying Agreement contain the entire understanding between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter.

6.3 Severability. If any provision of this Errata is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Each party hereby certifies and acknowledges that (a) the corrections set forth in this Errata are true and accurate to the best of such party's knowledge, (b) such corrections are intended only to remedy clerical or typographical errors or to clarify existing terms, and (c) no party has relied on any statement not set forth in writing in reaching its decision to execute this Errata.
