LEGAL ESIGN AGREEMENT

This Legal Esign Agreement (the Agreement) is made and entered into as of by and between Party A Name: with a principal address at , and Party B Name: with a principal address at .

RECITALS

WHEREAS, each Party desires to permit the use of electronic signatures, electronic records and electronic delivery with respect to documents arising under or relating to this Agreement; and

WHEREAS, the Parties intend that their mutual assent to transact business electronically and to be bound by electronic signatures comply with applicable law governing electronic transactions and records; and

WHEREAS, the Parties wish to set forth the terms and conditions under which electronic signatures and records shall have the same legal effect as handwritten signatures and paper records.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Electronic Signature" means any electronic sound, symbol or process attached to or logically associated with an electronic record and executed or adopted by a Party with the intent to sign the record. "Electronic Record" means a record generated, communicated, received or stored by electronic means.

2. CONSENT TO ELECTRONIC TRANSACTIONS

Each Party hereby irrevocably consents to the use of Electronic Signatures and Electronic Records in connection with any documents, notices, agreements, disclosures, amendments and communications between the Parties that relate to the subject matter of this Agreement. Such consent applies to both the creation and execution of documents.

3. SCOPE OF ELECTRONIC SIGNATURES

Electronic Signatures executed pursuant to this Agreement shall be binding and enforceable to the same extent as handwritten signatures, to the fullest extent permitted by law. The Parties agree that a record or signature in electronic form satisfies any legal requirement for a record or signature to be in writing.

4. AUTHENTICATION, SECURITY AND VERIFICATION

The Parties shall implement reasonable authentication and security measures to verify the identity of signatories and to protect the integrity of Electronic Records. Each Party represents and warrants that it shall not permit third parties to use its authentication credentials and shall promptly notify the other Party upon any suspected security breach or unauthorized use.

5. ELECTRONIC DELIVERY; RECORD RETENTION

Unless otherwise required by applicable law, delivery of notices, contracts, statements and other communications in electronic form satisfies any legal delivery requirement. Each Party shall maintain accurate and retrievable records of electronic transactions in a manner that permits reproduction of the records in a tangible form.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that (a) it has the legal capacity and authority to enter into and perform its obligations under this Agreement, (b) the individual executing an Electronic Signature on behalf of such Party is authorized to do so, and (c) any Electronic Record created or signed on its behalf will be treated as an original for all purposes.

7. ACKNOWLEDGMENT OF RECEIPT

By executing this Agreement, each Party acknowledges receipt of and access to the information describing the use of Electronic Signatures and Electronic Records, and consents to receiving communications and documents electronically in accordance with the terms set forth herein.

8. TERMINATION

Either Party may withdraw its consent to transact electronically by providing ten (10) days' prior written notice to the other Party. Withdrawal shall not affect the legal effect or enforceability of any Electronic Signature or Electronic Record executed prior to the effective date of withdrawal.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or sent by electronic mail to the address provided in the Notices section above. Each Party is responsible for maintaining a valid electronic contact for receipt of notices.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

11. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

12. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. No waiver by either Party of any breach shall be deemed a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

13. EXECUTION AND CERTIFICATION

Each Party certifies that the person signing on its behalf is authorized to do so, and that the Electronic Signature applied is intended to have the same force and effect as a manual signature. Each Party further certifies that it will maintain adequate records to demonstrate performance under this Agreement.
