RECITALS

WHEREAS, Estopping Party is willing to provide the representations, warranties and certifications set forth below so that the Receiving Party may rely thereon in consummating or continuing its transactions or dealings;

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not defined in this Agreement shall have the meanings ascribed to them in the Referenced Agreement. For purposes of this Agreement, "Default" shall mean any event or circumstance which with notice or lapse of time or both would constitute a default under the Referenced Agreement.

2. REPRESENTATIONS AND WARRANTIES OF ESTOPPING PARTY

Estopping Party represents and warrants to Receiving Party as of the Effective Date:

(a) The Referenced Agreement identified above is in full force and effect and constitutes the valid and binding obligation of Estopping Party, except as specifically disclosed in writing to Receiving Party:

3. ESTOPPEL; RELIANCE

Estopping Party hereby certifies and warrants that the foregoing representations are true and correct and that Estopping Party will not be permitted to assert, and hereby is estopped from asserting, against Receiving Party or any assignee, successor or lender of Receiving Party, any facts or claims contrary to such representations. Receiving Party may rely on this Agreement in consummating and enforcing its rights and obligations without further inquiry.

4. NOTICES AND SERVICE ADDRESSES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses above, or to such other address as either party may designate in writing. Notice shall be deemed given when received by personal delivery, certified mail (return receipt requested), or courier.

5. INDEMNITY

Estopping Party shall indemnify, defend and hold harmless Receiving Party and its affiliates, officers, directors, agents and successors from and against any and all claims, liabilities, losses and expenses (including reasonable attorneys' fees and costs) arising out of any material misrepresentation or breach of a representation or warranty made in this Agreement.

6. REMEDIES; EQUITABLE RELIEF

The parties acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy and that Receiving Party shall be entitled to seek injunctive relief and specific performance in addition to any other remedies available at law or in equity.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its choice of law principles.

8. ENTIRE AGREEMENT; AMENDMENT; WAIVER

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom enforcement is sought.

9. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal or unenforceable, such provision shall be reformed only to the extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

10. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding for all purposes.

11. MISCELLANEOUS
