LEGAL ESTOPPEL REQUEST

RECITALS

WHEREAS, Requesting Party is evaluating or pursuing a transaction that affects or is secured by certain real property or contractual rights described as: (the "Property"); and

NOW, THEREFORE

In consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

Capitalized terms used in this Request shall have the meanings assigned in the Agreements unless otherwise defined herein. For purposes of this Request, "Effective Date" means the date specified below as the effective date of the requested estoppel certificate.

3. REPRESENTATIONS AND WARRANTIES OF RESPONDING PARTY

Responding Party shall represent and warrant that: (a) the factual statements contained in the estoppel certificate are true, correct and complete as of the Effective Date; (b) Responding Party has full authority to make the certifications herein; (c) there are no undisclosed defaults, offsets, defenses or breaches except as expressly set forth in the estoppel certificate; and (d) execution of the estoppel certificate does not constitute a waiver of any right or claim not expressly waived in writing.

4. DELIVERY; TIMETABLE

Responding Party shall deliver the completed and executed estoppel certificate to Requesting Party within days after receipt of this Request. Delivery may be made by electronic transmission or hand delivery to the Notices address specified below, subject to the Notices provision of this Request.

5. RELIANCE; LIMITATION OF LIABILITY

Requesting Party, and those claiming by, through or under it, shall be entitled to rely upon the estoppel certificate as to the matters certified. The Responding Party's liability for any misstatement or omission in the estoppel certificate shall be limited to direct damages and shall not include consequential, punitive or exemplary damages, except to the extent such limitation is unenforceable under applicable law.

6. ATTORNEYS' FEES AND COSTS

If any action is instituted to enforce this Request or an estoppel certificate delivered hereunder, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party, in addition to any other relief granted.

8. AMENDMENTS; WAIVER; COUNTERPARTS

This Request may be amended only by a writing executed by both Parties. No waiver of any provision of this Request shall be effective unless in writing and signed by the party against whom enforcement is sought. This Request may be executed in counterparts and by electronic signature, each of which shall be deemed an original and all of which together shall constitute one instrument.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Request shall be governed by and construed in accordance with the laws of the state in which the Property is located. If any provision of this Request is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Request contains the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings related thereto.
