LEGAL EXEMPTION AGREEMENT

RECITALS

WHEREAS, Exempting Party is willing, subject to the terms and conditions set forth in this Agreement, to grant an exemption from specified obligations to Exempted Party in consideration of the mutual covenants contained herein; and

Capitalized terms used in this Agreement shall have the meanings assigned to them in this Section. "Exemption" means the limited relief from certain obligations specifically set forth in Section 2. "Effective Date" means the date set forth above. "Term" means the period during which the Exemption remains in force under Section 4.

2. GRANT OF EXEMPTION

2.1 Grant. Subject to the terms and conditions of this Agreement, Exempting Party hereby grants to Exempted Party a limited Exemption from the obligations described above to the extent set forth in this Agreement. The Exemption is strictly limited to the specific obligations identified and shall not be construed to waive or modify any other obligation of Exempted Party except as expressly stated.

2.2 Scope. The scope of the Exemption is limited to:

3.1 Conditionality. The Exemption is expressly conditioned upon fulfillment of the conditions set forth in this Section. Failure to satisfy any condition constitutes a material breach and shall render the Exemption null and void at the option of Exempting Party.

4.2 Termination for Cause. Exempting Party may terminate the Exemption for cause upon written notice if Exempted Party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.

Each party represents and warrants to the other that: (a) it has the full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and delivery of this Agreement and the performance hereof have been duly authorized by all necessary action; and (c) when executed and delivered, this Agreement shall constitute a legal, valid and binding obligation enforceable against it in accordance with its terms.

7. INDEMNIFICATION

Exempted Party shall indemnify, defend and hold harmless Exempting Party and its officers, directors, employees and agents from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of this Agreement by Exempted Party or any negligent or willful act or omission of Exempted Party in connection with the Exemption.

8. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED:

9. CONFIDENTIALITY

Each party shall maintain in confidence all confidential information disclosed by the other party in connection with this Agreement and shall use such confidential information only as necessary to exercise rights and perform obligations under this Agreement. Confidential information shall not include information that is publicly available through no fault of the receiving party.

10. NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and sent to the addresses set forth below or to such other address as a party may designate by notice to the other party in accordance with this Section.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, oral or written, relating to such subject matter.
