RECITALS

WHEREAS, Grantor is a party to certain obligations, requirements, or regulatory duties described as: (the Obligation); and

WHEREAS, Recipient has requested that Grantor grant an exemption from the Obligation, under defined conditions and subject to the terms and limitations set forth herein; and

WHEREAS, Grantor is willing to grant a limited exemption to Recipient on the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms have the following meanings:

(a) "Exemption" means the temporary or permanent relief from the Obligation as specifically described in Section 2.
(b) "Exemption Period" means the period commencing on and ending on unless earlier terminated pursuant to this Agreement.

2. GRANT OF EXEMPTION

Subject to the terms and conditions of this Agreement, Grantor hereby grants to Recipient a limited, non-transferable Exemption from the Obligation described in the recitals, solely to the extent and scope specified below and for the Exemption Period. The Exemption shall be limited to the following scope (check all that apply):

3. CONDITIONS AND LIMITATIONS

The Exemption is conditioned upon Recipient's strict compliance with the following conditions. Failure to comply constitutes an event of default and may result in immediate revocation of the Exemption:

(a) Recipient shall provide all documentation reasonably requested by Grantor to evidence eligibility for the Exemption and shall certify under penalty of perjury that all information submitted is true and complete.
(b) Recipient shall not assign, transfer, or pledge the benefit of the Exemption without the prior written consent of Grantor, and any purported assignment without consent is void.
(c) The Exemption applies only to the specific Obligation identified and does not extend to related obligations except as expressly provided in writing.
(d) Recipient shall comply with any monitoring or reporting obligations specified in the attached schedule or otherwise required by Grantor.

4. TERM; TERMINATION

The Exemption shall commence on the Effective Date and continue through the Exemption Period unless earlier terminated in accordance with this Agreement. Grantor may terminate the Exemption upon written notice to Recipient if Recipient materially breaches any representation, warranty, or covenant of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full power and authority to enter into and perform this Agreement; (b) the execution and performance of this Agreement will not violate any applicable law, regulation, contract, or court order to which it is subject; and (c) the person executing this Agreement on behalf of each party is duly authorized to bind that party.

6. INDEMNIFICATION; LIMITATION OF LIABILITY

Recipient shall indemnify, defend, and hold harmless Grantor and its officers, directors, agents, and employees from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to Recipient's breach of this Agreement, misuse of the Exemption, or misrepresentation in connection with the Exemption. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

7. CONFIDENTIALITY

The parties agree that any non-public information exchanged in connection with this Agreement shall be treated as confidential and shall not be disclosed to third parties except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is or becomes publicly available without breach of this Agreement.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below, by hand delivery, certified mail (return receipt requested), or overnight courier. Notice is effective upon receipt.

9. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended or modified only by a writing signed by both parties. No waiver of any breach of this Agreement shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws.

11. ENTIRE AGREEMENT

This Agreement, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

12. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely approximates the intent and economic effect of the invalid provision.

The parties may attach schedules describing documentation, monitoring requirements, or other conditions. Any such schedule shall be identified by title and date and signed by both parties to be effective.
