RECITALS

WHEREAS, Applicant asserts that Applicant is subject to certain legal duties or obligations described herein and seeks an exemption from such duty in whole or in part; and

1. DEFINITIONS

"Exemption" means the limited relief from the obligation identified in Section 2 granted by Authority to Applicant pursuant to this Agreement.

"Exemption Period" means the period commencing on the Effective Date and ending as specified in Section 3.

2. GRANT OF EXEMPTION

Subject to the terms, conditions and limitations set forth in this Agreement, Authority hereby grants to Applicant an Exemption from the duty described as:

4. CONDITIONS AND LIMITATIONS

The Exemption granted herein is expressly conditioned upon the following:

a) Applicant shall provide, and shall continue to provide upon request, documentation reasonably required by Authority to verify eligibility. Failure to provide requested documentation within the time specified constitutes grounds for immediate revocation.

b) Applicant shall not represent or imply any broader rights or privileges than those expressly granted herein.

5. REPRESENTATIONS AND WARRANTIES

Applicant represents and warrants that: (a) all information provided to Authority in connection with the request for Exemption is true, complete and accurate; (b) Applicant has the authority to execute and perform Applicant's obligations under this Agreement; and (c) Applicant has not knowingly omitted material facts that would affect Authority's decision to grant the Exemption.

6. OBLIGATIONS OF APPLICANT

Applicant agrees to maintain complete records relating to the Exemption and to make such records available to Authority upon reasonable request. Applicant shall notify Authority in writing within days of any material change in circumstances that would affect eligibility for the Exemption.

7. REMEDIES AND REVOCATION

Authority may, at its sole discretion, suspend or revoke the Exemption upon discovery of fraud, material misrepresentation, or failure to satisfy any condition of this Agreement. Revocation shall be effective upon written notice to Applicant, unless Authority specifies a later effective date.

Upon revocation, Applicant shall immediately resume compliance with the duty from which the Exemption was granted and shall be liable for any consequences, penalties or liabilities arising from noncompliance during the period of any improper claim of Exemption.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or to such other address as either party may designate by notice to the other.

9. AMENDMENT AND WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflicts of law principles.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations and warranties, whether written or oral.

12. SEVERABILITY

If any provision of this Agreement is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties as nearly as possible.
