6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full power and authority to enter into this Letter and to perform its obligations hereunder; (b) the execution and delivery of this Letter have been duly authorized by all necessary action; and (c) when executed and delivered, this Letter constitutes the valid and binding obligation of such party enforceable in accordance with its terms.

7. INDEMNIFICATION

Recipient shall indemnify, defend and hold harmless Exempting Party, its affiliates, officers, directors and employees from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Recipient's use of the Exemption, any breach of this Letter by Recipient, or any act or omission of Recipient in connection with the subject matter of this Letter.

8. CONFIDENTIALITY

The existence, terms and conditions of this Letter shall be treated as Confidential Information of both parties. Neither party shall disclose the contents of this Letter to any third party except as required by law or with the prior written consent of the other party. Notwithstanding the foregoing, either party may disclose this Letter to its legal counsel, accountants, or potential acquirers on a confidential basis.
