4. COMPLIANCE, RECORDKEEPING AND INSPECTION

4.1 Recordkeeping. Notifying Party shall retain, and make available to Recipient upon reasonable request, all records, instruments and other evidence supporting the exemption claim for a period of following the date of this Notice.

4.2 Inspection. Recipient may inspect Notifying Party’s supporting records upon reasonable notice and during normal business hours for the purpose of verifying the continued applicability of the exemption.

5. INDEMNIFICATION

5.1 Indemnity. Notifying Party shall indemnify, defend and hold harmless Recipient and its officers, employees and agents from and against any and all claims, losses, liabilities, damages, fines, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any misrepresentation or breach of warranty made in this Notice; (b) failure to provide required supporting documentation; or (c) any assertion by a third party or governmental authority that the exemption is inapplicable.

6. TERM, REVOCATION AND TERMINATION

6.1 Term. This Notice shall be effective as of the Effective Date above and shall remain in force until unless earlier revoked or superseded in accordance with this Section.

6.2 Revocation. Notifying Party may revoke or modify this Notice by providing written notice to Recipient under Section 7. Recipient may treat a revocation effective as of the date specified in such written notice, but Recipient shall have no liability for acts taken in reliance on this Notice prior to the effective revocation date.

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the parties at the addresses set forth below (or to such other address as a party may designate by notice to the other party).

8. AMENDMENTS; WAIVER; COUNTERPARTS

8.1 Amendment. This Notice may be amended or modified only by a written instrument executed by both parties.

8.2 Waiver. No waiver of any provision of this Notice shall be effective unless set forth in a written instrument signed by the party waiving compliance, and no waiver shall constitute a waiver of any other right.

8.3 Counterparts. This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronically transmitted signatures shall be binding.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY
