RECITALS

Holder represents and warrants to the Grantor that: (a) the Holder is duly organized, validly existing and in good standing under the laws of its jurisdiction of formation and has full power and authority to execute and deliver this Notice and to perform its obligations hereunder; (b) the execution and delivery of this Notice and the consummation of the transactions contemplated hereby have been duly authorized by all necessary action on the part of the Holder; (c) the execution, delivery and performance by the Holder of this Notice will not conflict with or result in a breach of any agreement, law, judgment or order binding on the Holder.

Grantor represents and warrants to Holder that: (a) the Grantor has full right and authority to accept this Exercise and to effectuate delivery of any securities or assets to be delivered upon exercise; (b) issuance or delivery of such securities or assets upon satisfaction of the payment and delivery conditions will be validly authorized and, if applicable, duly registered or exempt from registration.

5. CONDITIONS TO EFFECTIVENESS

The Holder's exercise shall be effective only upon: (a) receipt by the Grantor of cleared payment in the Total Payment Amount in accordance with Section 3; (b) Holder's delivery of any executed documents reasonably required by the Grantor to effect issuance or transfer; and (c) satisfaction of any approvals, consents or filings expressly required by the referenced agreement or applicable law.

6. NOTICES

All notices, requests, demands and other communications required or permitted under this Notice shall be in writing and shall be deemed given upon personal delivery, confirmed delivery by courier, or three (3) business days after deposit in the mail, postage prepaid, addressed to the parties at the addresses set forth below (or to such other address as a party shall provide by written notice).

7. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Notice shall be effective unless in writing and signed by the party against whom enforcement is sought. No failure or delay by any party in exercising any right or remedy shall operate as a waiver of such right or remedy.

8. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

9. ENTIRE AGREEMENT; SEVERABILITY
