LEGAL EXHIBIT D DOCUMENT

RECITALS

WHEREAS: Company and Contractor are parties to a master agreement entitled Master Services Agreement dated (the "Agreement"), under which certain services, deliverables and specifications are to be provided; and

1. DEFINITIONS

Unless otherwise defined in this Exhibit, capitalized terms used herein shall have the meanings assigned in the Agreement. For purposes of this Exhibit:

"Deliverables" means the items, reports, designs, software, documentation and other work product to be provided by Contractor as described in Section 2 below.

2. SCOPE OF SERVICES AND DELIVERABLES

Contractor shall perform the services and deliver the Deliverables set forth in this Section in accordance with the schedule and specifications provided herein.

Acceptance of each Deliverable shall be governed by the Acceptance Criteria set forth below. Contractor shall not be deemed to have delivered any Deliverable until Company has provided written acceptance in accordance with Section 3.

3. ACCEPTANCE CRITERIA

Each Deliverable shall conform materially to the specifications set forth in Section 2 and shall be free from material defects. Company shall have a period of days from delivery to conduct acceptance testing and provide written notice of rejection or acceptance.

4. COMPENSATION

In consideration for the performance of the services and delivery of Deliverables, Company shall pay Contractor the fees set forth below in accordance with the payment schedule.

5. REPRESENTATIONS AND WARRANTIES

Contractor represents and warrants that: (a) it has full power and authority to execute and perform this Exhibit; (b) the Deliverables will conform to the specifications and Acceptance Criteria; and (c) the Deliverables, as delivered, will not infringe the intellectual property rights of any third party. Company represents that it has authority to accept the Deliverables and to make payments under this Exhibit.

6. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any claim, demand, liability, loss, damage, cost or expense (including reasonable attorneys' fees) arising out of breach of such party's representations, warranties or obligations under this Exhibit, except to the extent caused by the other party's gross negligence or willful misconduct.

7. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable to the other for incidental, consequential, punitive or special damages. The cumulative liability of each party for claims arising under this Exhibit shall not exceed the total fees paid under this Exhibit.

8. CONFIDENTIALITY

The parties agree that Confidential Information shall be handled in accordance with the confidentiality provisions of the Agreement. Notwithstanding anything to the contrary, Contractor shall maintain in confidence all Company data included in the Deliverables and shall not disclose such data except as necessary to perform the services.

9. COMPLIANCE WITH LAWS

Contractor shall perform the services in compliance with all applicable laws, rules and regulations. Contractor shall obtain and maintain all permits, licenses and approvals necessary to perform the services hereunder.

10. NOTICES

All notices related to this Exhibit shall be in writing and delivered in accordance with the Notices provision of the Agreement, or to the following representatives set forth below:

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Exhibit shall be effective unless in writing and signed by duly authorized representatives of both parties. Failure to enforce any right shall not constitute a waiver. This Exhibit may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Exhibit shall be governed by and construed in accordance with the laws of the State specified in the Agreement without regard to conflict of law principles. If any provision of this Exhibit is held invalid or unenforceable, the remainder shall remain in full force and effect. This Exhibit, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating thereto.
