EXHIBIT J — ADDITIONAL TERMS

Recitals

WHEREAS, the Parties entered into the Agreement to define the respective rights and obligations related to the Services described therein; and

WHEREAS, the Parties desire to set forth in this Exhibit specific performance standards, deliverables, change order procedures, notice details, insurance and audit obligations, and related terms that supplement and govern the Services pursuant to the Agreement; and

WHEREAS, the Parties intend that this Exhibit control in the event of any conflict between this Exhibit and the Agreement with respect to the subject matter hereof, except as otherwise provided in the Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained in the Agreement and this Exhibit, the Parties hereby agree as follows:

1. Definitions

Capitalized terms used but not defined in this Exhibit shall have the meanings assigned to them in the Agreement. For the purposes of this Exhibit, "Deliverables" means the tangible or intangible work products described in Section 2 and any attachments hereto.

2. Scope of Exhibit; Deliverables

The Contractor shall deliver the services and Deliverables described below in accordance with the specifications and acceptance criteria set forth in this Exhibit.

3. Performance Standards and Acceptance

Contractor shall perform the Services in a professional and workmanlike manner consistent with industry standards. Deliverables shall conform to the acceptance criteria below. If Client identifies nonconformities, Contractor shall, at no additional cost, correct such nonconformities within the cure periods set forth in this Exhibit.

4. Change Orders

Any change to the scope, schedule, price, or any other material term of this Exhibit must be made by a written Change Order. A Change Order shall describe the change, the impact on price and schedule, and shall be signed by authorized representatives of both Parties before it becomes effective. No oral modification shall be binding.

5. Confidentiality; Data Security; Breach Notification

Each Party shall protect Confidential Information received under the Agreement in accordance with the confidentiality provisions of the Agreement. Contractor shall implement and maintain administrative, physical and technical safeguards appropriate to the size and scope of its activities to protect Personal Data and Confidential Information.

6. Insurance; Indemnity

Contractor shall maintain, at its expense, insurance coverage sufficient to cover its liabilities under the Agreement and this Exhibit. Coverage shall include, at a minimum, Commercial General Liability, Professional Liability (where applicable), Workers' Compensation and Employer's Liability. Contractor shall deliver certificates evidencing such coverages upon Client's request.

7. Records; Audit Rights

Contractor shall maintain records necessary to demonstrate compliance with the Agreement and this Exhibit. Client or its designated representative may audit such records during normal business hours upon reasonable prior notice and subject to confidentiality protections.

8. Term; Termination; Survival

The term of this Exhibit shall commence on the Exhibit Effective Date and shall continue for the period specified in the Agreement or until earlier termination pursuant to the Agreement. Termination of the Agreement shall terminate this Exhibit; provided, however, that any obligation that by its nature survives termination (including confidentiality, indemnity, audit and payment obligations) shall survive for the period set forth therein.

9. Notices

All notices under this Exhibit shall be given in accordance with the Notice provisions of the Agreement. If no notice information is provided there, notices shall be sent to the addresses set forth below.

10. Governing Law; Dispute Resolution

This Exhibit shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Any disputes arising out of or relating to this Exhibit shall be resolved in accordance with the dispute resolution provisions of the Agreement.

11. Entire Agreement; Severability; Amendments; Waiver; Counterparts

This Exhibit, together with the Agreement, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and representations. If any provision of this Exhibit is held invalid or unenforceable, the remainder of this Exhibit shall remain in full force and effect. No amendment or waiver of any provision of this Exhibit shall be effective unless in a writing signed by authorized representatives of both Parties. The waiver of any breach shall not operate as a waiver of any subsequent breach. This Exhibit may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. Incorporation; Order of Precedence

This Exhibit is incorporated into and forms part of the Agreement. In the event of any inconsistency between this Exhibit and the Agreement, the terms of this Exhibit shall control solely with respect to the subject matter of this Exhibit, unless the Agreement expressly provides otherwise.
