LEGAL EXHIBITS

This Legal Exhibits Addendum ("Exhibits Addendum") is made effective as of by and between First Party: with principal address at , and Second Party: with principal address at .

RECITALS

WHEREAS, the parties have entered into one or more agreements (collectively, the "Underlying Agreement") pursuant to which certain exhibits, schedules and attachments are to be delivered, attached and incorporated; and

WHEREAS, the parties desire to identify and set forth the terms governing each exhibit, to confirm that listed exhibits are incorporated into the Underlying Agreement, and to establish procedures for amendment, substitution and control of such exhibits; and

WHEREAS, the parties intend that this Exhibits Addendum shall govern the status, custody and permitted use of all exhibits listed herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Exhibit" means any document, schedule, appendix, drawing, data file or other item expressly listed in Section 2 below and attached hereto or delivered in accordance with this Exhibits Addendum.

1.2 "Attachment Date" means the date shown adjacent to an Exhibit in the List of Exhibits and reflects the date on which the Exhibit was delivered and deemed incorporated into the Underlying Agreement.

2. LIST OF EXHIBITS

The following Exhibits are attached hereto and are incorporated into the Underlying Agreement by this reference. Each Exhibit entry identifies the Exhibit number, title, a concise description of its contents, format and location or identifying reference.

3. INCORPORATION AND EFFECT

3.1 Each Exhibit listed herein, as delivered and dated, is incorporated into the Underlying Agreement and shall have the same force and effect as if set forth in full therein. In the event of any conflict between an Exhibit and the main body of the Underlying Agreement, the order of precedence shall be as set forth in the Underlying Agreement unless otherwise expressly agreed in writing.

3.2 Delivery of an Exhibit in electronic form shall be effective upon confirmation of receipt by the receiving party pursuant to the notice procedures in Section 8, provided that the parties may require certified copies for certain types of exhibits where originals are material.

4. AMENDMENT, SUBSTITUTION AND CORRECTION

4.1 No Exhibit shall be amended, replaced or otherwise altered except by a written instrument referencing this Exhibits Addendum and signed by authorized representatives of both parties. Such instrument shall identify the Exhibit by number and state whether the instrument amends, replaces or corrects the Exhibit.

4.2 A party delivering a corrected or substitute Exhibit shall mark the replacement as such and shall include an exhibit attachment date. The receiving party shall have a reasonable opportunity to review and object in writing within ten (10) business days following receipt; failure to object shall be deemed acceptance.

5. CUSTODY, RETENTION AND RETURN

5.1 Each party shall maintain custody and control of Exhibits in its possession and shall exercise reasonable care to preserve the integrity and confidentiality of such Exhibits. Originals of exhibits shall be retained for the period required by applicable law or as otherwise agreed by the parties, whichever is longer.

5.2 Upon termination of the Underlying Agreement or upon written request by the delivering party, the receiving party shall return all original physical Exhibits within thirty (30) days or certify the destruction of electronic copies, except to the extent retention is required by law or by prior written agreement.

6. CONFIDENTIALITY

6.1 Each Exhibit that is designated confidential or that by its nature is confidential shall be subject to the confidentiality terms of the Underlying Agreement. Where no such provision exists, the recipient of a confidential Exhibit shall treat it as Confidential Information and protect it from unauthorized disclosure using at least the same degree of care as it uses to protect its own similar confidential information, but in no event less than reasonable care.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that, to the best of its knowledge, the Exhibits it has delivered are true copies of the documents it purports to deliver, and that it has authority to deliver such Exhibits and grant the rights and impose the obligations set forth in the Underlying Agreement and this Exhibits Addendum.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Exhibits Addendum shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice in accordance with this Section.

9. MISCELLANEOUS

Governing Law. This Exhibits Addendum shall be governed by and construed in accordance with the laws specified in the Underlying Agreement. If the Underlying Agreement does not specify governing law, the laws of the jurisdiction of the receiving party's principal place of business shall apply.

Entire Agreement. This Exhibits Addendum, together with the Underlying Agreement, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior instrumentations relating to listed Exhibits, whether oral or written.

Severability. If any provision of this Exhibits Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted so as to give effect to the parties' intent.

Waiver; Amendments. No waiver of any term or condition shall be valid unless in writing and signed by the party against whom enforcement is sought. No amendment to this Exhibits Addendum shall be effective unless in a written instrument signed by authorized representatives of both parties.

Counterparts. This Exhibits Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding to the same extent as original signatures.
