The Recipient shall treat the Explanation and any Supporting Documents as confidential and shall not disclose them to any third party except: (a) as required by law or court order, (b) to the Recipient's counsel, auditors, or insurers on a confidential basis, or (c) with the Client's prior written consent. Any compelled disclosure under (a) shall be promptly communicated to the Client where permitted.

6. USE AND RELIANCE

The Recipient may rely on the Explanation and Supporting Documents solely for the purpose described in the Recitals and for no other purpose. The Recipient shall not construe the provision of this Letter as an admission of liability by the Client for any matter.

7. INDEMNIFICATION

The Client agrees to indemnify, defend and hold harmless the Recipient from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any material inaccuracy in the Explanation or any Supporting Documents provided by the Client, except to the extent such claims result directly from the Recipient's breach of confidentiality or misuse of the Explanation.

8. NOTICES

All notices and communications required or permitted under this Letter shall be in writing and delivered to the addresses set forth below by hand, certified mail, or nationally recognized overnight courier.

9. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Letter shall be effective unless in writing and signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right.
