LEGAL FAX LETTER OF AUTHORIZATION (LOA)

RECITALS

WHEREAS, Client requires secure transmission and receipt of legal documents and other confidential communications by facsimile and seeks to delegate transmission and receipt functions to Provider in accordance with the terms of this LOA; and

WHEREAS, Provider represents that it has the technical capability, personnel, and lawful authority to transmit and receive facsimile communications on behalf of Client and to maintain records of such transmissions in a manner consistent with applicable law and professional standards; and

WHEREAS, the parties desire to set forth herein the scope of Provider's authorization, confidentiality obligations, recordkeeping requirements, and the respective rights and remedies of the parties.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. AUTHORIZATION

1.1 Grant. Client hereby authorizes Provider to transmit, receive and accept facsimile communications, and to process, reproduce and securely deliver such communications to Client or Client's authorized recipients, solely as expressly set forth in this LOA. Provider's authorization includes the authority to accept service of process by facsimile where explicitly identified in Section 1.3.

1.2 Scope of Actions. Provider is authorized to:

  • Transmit facsimile pages to parties and numbers listed in Section 2;
  • Receive facsimile pages on behalf of Client and securely store transmission records;
  • Confirm transmission status to Client and provide transmission confirmations upon request;
  • Accept and forward facsimile-transmitted documents deemed by Client to constitute notice or service of documents, when Client has so designated in writing.

1.3 Accepted Functions. The parties expressly authorize the following functions (check all that apply):

2. AUTHORIZED NUMBERS AND RECIPIENTS

2.1 Recipient List. Provider shall transmit to and receive faxes from the telephone numbers and recipients listed below and any additional recipients authorized in writing by Client. Provider shall rely on the information provided by Client for delivery and recipient identification.

2.2 Updates. Client shall provide prompt written notice to Provider of any changes to authorized recipients or numbers. Provider shall implement such changes only upon receipt of written or otherwise authenticated instructions from Client.

3. CONFIDENTIALITY AND DATA PROTECTION

3.1 Confidential Treatment. Provider shall treat all transmitted and received facsimile content as confidential and shall not disclose such content except (i) to Client or Client's authorized recipients; (ii) as required by law, court order, or ethical obligation; or (iii) as expressly authorized in writing by Client.

3.2 Security Measures. Provider shall maintain administrative, technical and physical safeguards appropriate to the sensitivity of the transmitted data, and shall maintain transmission logs, delivery confirmations, and access controls reasonably designed to protect against unauthorized access.

4. RECORDS, RETENTION AND AUDIT

4.1 Retention. Provider shall retain records of all transmissions and receipts for a period of days from the date of transmission unless a longer period is required by law, court order, or the parties' written instructions.

4.2 Audit Rights. Upon reasonable prior notice and during normal business hours, Client may request access to transmission logs and confirmations to verify Provider's compliance with this LOA. Provider shall cooperate and provide copies of records, subject to Provider's reasonable document production procedures and applicable confidentiality obligations.

5. REPRESENTATIONS, WARRANTIES AND AUTHORITY

5.1 Mutual Representations. Each party represents and warrants that it has full power and authority to enter into and perform this LOA, that the person signing below is duly authorized to execute this LOA on its behalf, and that performance hereunder will not violate any applicable agreement, law, rule or regulation.

5.2 Provider Warranties. Provider warrants that it will perform transmission and receipt services in a commercially reasonable manner consistent with industry standards, and will endeavor to ensure accurate delivery to authorized recipients.

6. INDEMNIFICATION

6.1 Indemnity by Client. Client shall indemnify, defend and hold harmless Provider and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's instructions, content transmitted by Client, or Client's failure to comply with the terms of this LOA.

6.2 Indemnity by Provider. Provider shall indemnify, defend and hold harmless Client from and against any third-party claims arising from Provider's gross negligence or willful misconduct in performing transmission services under this LOA.

7. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR BREACH OF CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROVIDER'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF THIS LOA SHALL NOT EXCEED THE AMOUNT OF FEES PAID TO PROVIDER BY CLIENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

8. TERM AND TERMINATION

8.1 Term. This LOA shall commence on the Effective Date and continue in force until terminated as provided below.

8.2 Termination. Either party may terminate this LOA without cause upon days' prior written notice to the other party. Termination shall not affect obligations accrued prior to termination.

9. NOTICES

9.1 Form of Notice. All notices required or permitted under this LOA shall be in writing and shall be delivered by facsimile (with electronic confirmation), personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier to the addresses set forth below (or to such other address as either party may designate by notice to the other).

10. AMENDMENTS, WAIVER, AND COUNTERPARTS

10.1 Amendments. No amendment, modification or waiver of any provision of this LOA shall be effective unless in a written instrument signed by duly authorized representatives of both parties.

10.2 Waiver. No waiver of any breach of this LOA shall constitute a waiver of any other breach. The failure of either party to enforce any provision of this LOA shall not be construed as a waiver of such provision.

10.3 Counterparts. This LOA may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be deemed original signatures for all purposes.

11. GOVERNING LAW, ENTIRE AGREEMENT, SEVERABILITY

11.1 Governing Law. This LOA shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to conflict of law principles.

11.2 Entire Agreement. This LOA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

11.3 Severability. If any provision of this LOA is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.
