LEGAL FDA APPROVAL LETTER

This Legal FDA Approval Letter (the "Letter") is made as of by and between Client Name: with principal place of business at ("Sponsor"), and Client Name: with principal place of business at ("Recipient").

RECITALS

WHEREAS, Sponsor has submitted to the United States Food and Drug Administration an application for marketing authorization for the product identified as Product Name: (the "Product"); and

WHEREAS, the FDA issued approval identified by Approval No.: on (the "Approval"); and

WHEREAS, Sponsor and Recipient desire to set forth the conditions under which the Approval and related regulatory representations are being communicated for commercial, labeling and distribution purposes.

NOW THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Letter, the following terms have the meanings set forth below: "Approval" means the FDA authorization described above; "Labeling" means all written, printed or graphic matter accompanying or made part of the Product, including instructions for use and marketing materials; "Territory" means .

2. DECLARATION OF APPROVAL

Sponsor hereby certifies that, as of the Approval date set forth above, the Product has received regulatory approval from the FDA for the indications and labeling set forth in Sponsor's approval documentation. Sponsor represents that to the best of its knowledge the Approval is in full force and effect and that no order, stay, suspension or withdrawal of the Approval is pending or threatened.

3. SCOPE AND CONDITIONS OF USE

Recipient may rely on Sponsor's representation of Approval solely for the Product specified in Section 1 and only for the uses expressly set forth in the approved Labeling. Recipient shall not market, label, promote, distribute or modify the Product in any manner inconsistent with the approved Labeling or the limitations set forth by the FDA.

Any change to the Product, manufacturing process, packaging or labeling that may affect safety, efficacy or regulatory compliance shall require prior written notice to Sponsor and, if required by applicable law, an amendment to the Approval. Recipient shall cease distribution of the Product upon notice from Sponsor of any material change in regulatory status.

4. REPRESENTATIONS AND WARRANTIES

Sponsor represents and warrants that: (a) it is the holder of the Approval or is authorized to disclose the Approval to the Recipient for the purposes described herein; (b) to the best of Sponsor's knowledge, the Approval is valid and not subject to unresolved material compliance actions; and (c) Sponsor has provided Recipient with true and complete copies of the approved Labeling and material regulatory correspondence relevant to the Approval.

EXCEPT AS SET FORTH IN THIS SECTION, THE APPROVAL IS PROVIDED "AS IS" AND SPONSOR MAKES NO FURTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

5. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party and its directors, officers, employees and agents (the "Indemnified Party") from and against any and all third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the Indemnifying Party's breach of its representations, warranties or obligations under this Letter; or (b) the Indemnifying Party's negligent or willful misconduct in connection with the manufacture, marketing or distribution of the Product.

6. CONFIDENTIALITY

The parties acknowledge that regulatory correspondence, Labeling drafts, study reports and terms of this Letter may constitute confidential information. Each party shall maintain such information in confidence and shall not disclose it to any third party except as required by law or regulatory authority, subject to advance notice to the other party where practicable.

7. NOTIFICATIONS OF ADVERSE EVENTS AND REGULATORY ACTIONS

Each party shall promptly notify the other in writing of any material regulatory action, adverse event, recall, inspectional observation or other event that may materially affect the safety, efficacy or continued approval of the Product. Notification shall be provided in accordance with the Notices provision below.

8. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING UNDER THIS LETTER.

9. TERM AND TERMINATION

This Letter shall become effective on the Effective Date above and shall remain in effect until the Approval is withdrawn or otherwise terminated by Sponsor or by operation of law. Either party may terminate this Letter for cause upon thirty (30) days' written notice if the other party materially breaches any provision and fails to cure within the notice period.

All notices required or permitted under this Letter shall be in writing and delivered to the addresses set forth above by hand, certified mail, or overnight courier and shall be deemed given upon receipt.

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Letter may be amended only by a written instrument executed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Letter may be executed in counterparts, each of which shall constitute an original.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Letter shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. If any provision of this Letter is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Letter, together with any attachments or regulatory documents expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.
