LEGAL FEE AGREEMENT

This Legal Fee Agreement (the "Agreement") is entered into on by and between Client Name: with primary address: and Attorney/Law Firm Name: Bar Number: , with primary address: .

RECITALS

WHEREAS, Client desires to engage Attorney to provide legal services in connection with: ; and

WHEREAS, Attorney is willing to provide such services on the terms and conditions set forth in this Agreement.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT

Client hereby retains Attorney, and Attorney accepts such retention, to perform legal services reasonably necessary to represent Client in the matter described above (the "Matter"). Attorney's representation is limited to those services expressly set forth in Section 2 below and shall not include services for appeals, separate actions, or unrelated matters except as expressly agreed in writing.

Client agrees to pay Attorney fees on the following basis (select all that apply and supply required details):

Hourly fee at $ per hour for attorneys and $ per hour for paralegals. Time shall be recorded in increments of 0.1 hours.

Flat fee of $ for the services described in Section 2, subject to adjustment for substantially expanded scope or unforeseen circumstances.

Contingency fee of percent of recoveries, calculated on gross recovery before deduction of costs and expenses. If a contingency is selected, the parties agree that a separate contingency fee addendum is required and will govern allocation of costs and net recoveries.

4. RETAINER AND TRUST FUNDS

Client shall pay to Attorney an initial retainer of $ to be deposited in Attorney's trust account. The retainer will be applied against fees and expenses billed to Client; Attorney shall provide periodic statements of the work performed and the balance of trust funds. Client shall replenish the retainer to the initial amount within days of notice that the trust balance has fallen below the agreed threshold.

5. EXPENSES AND COSTS

Client shall reimburse Attorney for all reasonable out-of-pocket expenses advanced on Client's behalf, including but not limited to filing fees, court reporter fees, process service, travel, deposition costs, expert fees, photocopying, postage, courier charges and long-distance communications. Such expenses may be billed as incurred or on monthly statements.

6. BILLING, PAYMENT AND INTEREST

Attorney will render statements for fees and expenses on a monthly basis or at other mutually agreed intervals. Client shall pay all undisputed amounts within days of the invoice date. Unpaid balances shall bear interest at a rate of per month, or the maximum permitted by law, whichever is less. Client is responsible for reasonable fees and costs of collection for overdue balances.

7. TERMINATION

Either party may terminate this Agreement upon written notice to the other. Termination shall not affect Client's obligation to pay for services rendered and expenses incurred prior to termination. Following termination, Attorney shall deliver to Client any file materials to which Client is entitled, subject to Attorney's lien for unpaid fees and costs to the extent permitted by law.

8. CONFLICTS AND DUTY OF LOYALTY

Attorney has conducted a reasonable conflicts check based on information provided by Client. Client agrees to promptly notify Attorney of any potential conflict of interest. Attorney will not be liable for representation undertaken unless a material conflict exists that was not disclosed by Client or later arises and is not waived.

9. CONFIDENTIALITY AND PRIVILEGE

Attorney shall maintain the confidentiality of Client communications to the extent required by law and shall assert the attorney-client privilege on Client's behalf where appropriate. Nothing in this Agreement limits Attorney's obligation to comply with court orders, applicable rules of professional conduct, or to secure Client's informed consent when required.

10. DISPUTE RESOLUTION

Any dispute regarding fees or costs shall be resolved first by good-faith negotiation. If negotiation fails, the parties agree to submit the fee dispute to binding arbitration before a single arbitrator experienced in legal fee disputes, unless Client elects to seek resolution through an authorized fee dispute program or tribunal. The prevailing party in any fee enforcement action shall be entitled to reasonable attorneys' fees and costs.

11. CLIENT REPRESENTATIONS

Client represents and warrants that Client has the authority to enter into this Agreement, that the information provided to Attorney is true and complete to the best of Client's knowledge, and that Client will promptly notify Attorney of any material changes affecting the representation.

12. NOTICES

Notices shall be deemed given when delivered in writing by hand, commercial courier, or mailed by first-class mail to the addresses set forth above, or to such other address as a party may designate in writing.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment to this Agreement must be in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
