LEGAL FEE INSTRUCTIONS

This Legal Fee Instructions Agreement (the Agreement) is made and entered into as of between Law Firm: , with principal address , and Client Name: , with address .

Recitals

WHEREAS, Client has engaged Law Firm to provide legal services as described in the underlying representation agreement and wishes to provide specific instructions governing the payment, holding, and application of fees and disbursements; and

WHEREAS, the parties intend that these Fee Instructions shall govern the handling of retainers, trust funds, fee applications, and allocation of proceeds in the event of settlement, judgment, or recovery; and

WHEREAS, the parties desire to set forth their mutual instructions in writing.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

1. Retainer, Rates, and Scope

1.1 Retainer. Client shall deliver a retainer in the amount of to be held in Law Firm's client trust account and applied against fees and costs in accordance with these instructions.

1.2 Billing Rates. Law Firm's billing rates for the engagement are as follows: Attorneys at per hour; Senior Attorneys at per hour; Paralegals at per hour. Alternative fee arrangements or contingency terms agreed between the parties shall be set forth in Section 7 below.

2. Trust Account and Deposit Instructions

2.1 Trust Account. Client directs that all retainers and settlement proceeds to which the Law Firm is entitled under this engagement be deposited to Law Firm's client trust account identified as:

2.2 Direction. Client authorizes the Law Firm to deposit checks and electronic payments related to this matter into the trust account and to withdraw from the trust account to pay fees, costs, disbursements, and to reimburse advances as provided herein, subject to applicable ethical rules.

3. Billing and Payment Procedures

3.1 Billing Cycle. Law Firm will render itemized invoices on a basis. Each invoice will set forth fees, hours, rates, and itemized costs.

3.2 Payment Terms. Unless otherwise agreed in writing, invoices are due upon receipt and are considered past due after days. Client agrees that retainer funds may be applied to outstanding invoices in accordance with applicable law.

5. Disbursements, Costs, and Advances

5.1 Costs and Advances. Client shall advance or reimburse costs and disbursements incurred on Client's behalf, including filing fees, expert fees, deposition costs, courier and travel expenses, and other out-of-pocket charges. Advances shall be deposited in the trust account and applied to invoices.

5.2 Third-Party Payments. Client expressly authorizes Law Firm to make payments to third parties from trust funds when reasonably necessary to prosecute or defend the matter. Law Firm will provide itemized documentation with invoices.

6. Lien, Charging Order and Application of Proceeds

6.1 Charging Lien. Client acknowledges that Law Firm may assert a charging lien or other lien permitted by law against any judgment, settlement, or recovery to secure payment of fees and costs advanced by Law Firm on Client's behalf.

6.2 Application of Proceeds. Upon receipt of settlement proceeds or judgment funds, Law Firm is authorized to deduct and withhold amounts reasonably necessary to satisfy outstanding invoices, the agreed contingent fee (if any), and reimbursable costs, subject to providing Client with an accounting.

7. Contingency Arrangements and Allocation

7.1 Contingency Fee. If the representation is on a contingency basis, the contingency percentage payable to Law Firm shall be of the gross recovery, unless otherwise specified in a separate contingency agreement executed by the parties.

7.2 Multiple Claimants. If recovery is made on behalf of multiple claimants or joint interests, allocation of attorney fees, costs, and net proceeds among claimants shall be governed by the retainer agreement and equitable principles; the Law Firm shall account for allocations in writing prior to disbursement.

8. Interest, Late Charges, and Collections

Unpaid invoices shall accrue interest at the rate of (or the maximum rate permitted by law), and Client shall be responsible for reasonable collection costs, including court costs and attorney fees, incurred to collect past due amounts.

9. Confidentiality and Disclosure of Fee Information

Fee amounts, invoices, and trust accounting information are confidential and shall not be disclosed by the Law Firm except as authorized by Client, required by law, or necessary to collect fees and costs as permitted by this Agreement and applicable professional conduct rules.

11. Amendments; Waiver; Entire Agreement

Any amendment to these Fee Instructions must be in writing and signed by both parties. The failure of either party to insist upon strict performance of any provision shall not constitute a waiver of any subsequent default. This Agreement, together with any separate retainer or contingency agreement signed by the parties, constitutes the entire agreement regarding fee instructions and supersedes all prior communications and understandings with respect thereto.

12. Governing Law; Severability; Counterparts

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
